Changes and notable items

  • Q3 R&D expense rose $2.8m year over year; nine-month R&D rose $6.0m. The filing attributes increases mainly to clinical development, including aGVHD study start-up and higher personnel costs, partly offset by lower costs for a COVID-19 trial that the company decided not to start.
  • G&A increased $0.6m in Q3 and $0.8m for the nine-month period, primarily due to increased employee compensation and benefits.
  • The February 2021 registered direct offering generated $29.9m net proceeds from common stock sales and warrants. Shares outstanding increased to 29.38m from 24.75m at year-end 2020.
  • Foreign currency transaction changes contributed to other expense of $0.2m in Q3 and $0.3m for the first nine months, versus other income in the comparable 2020 periods.

Outlook, risks and contingencies

  • Management stated that September 30 cash and investments were expected to fund planned operations for at least 12 months from the filing date. The company expects continuing losses and increased R&D spending, and does not expect product revenue within the next 12 months, if ever.
  • After positive Phase 1b topline results in aGVHD and an FDA end-of-Phase 1 meeting, the company planned to initiate a pivotal aGVHD study in early 2022. It expected EQUIP asthma topline data in Q4 2021 and interim lupus nephritis data around mid-2022.
  • COVID-19-related recruitment challenges have delayed trials and may further affect enrollment and data timing. Clinical success, regulatory approval, financing availability and future capital needs remain uncertain; additional equity financing could dilute shareholders.
  • The company has a Biocon license with up to $30m in regulatory milestones, up to $565m in sales milestones, and tiered royalties; no milestone or royalty payments had been made or received as of September 30, 2021. The company reported compliance with loan covenants and no legal proceedings or material changes to previously disclosed risk factors.

Important facts for investors to verify

  • Whether the stated cash runway remains adequate given operating cash use, planned clinical spending and actual subsequent cash balances.
  • Whether aGVHD, asthma and lupus trial milestones and projected data timing were achieved, and how COVID-19 affected enrollment.
  • Debt repayment requirements, applicable interest rate, covenant status and availability of any further financing.
  • Potential dilution from outstanding warrants, options and future equity offerings, and the financial implications of the Biocon milestone and royalty obligations.
