Interest income, including payment-in-kind (PIK) interest, rose about $9.0 million, driven by higher average debt investment balances and higher portfolio yields. Total expenses increased about $4.1 million to $14.3 million, particularly from higher income incentive fees and financing costs. The filing reports an annualized total-expense ratio of 11.9% of average net assets, versus 8.4% a year earlier.
Operating cash flow was negative $41.2 million, reflecting $51.5 million of investment purchases, partly offset by $15.9 million of sales and repayments. Financing activities provided $15.3 million, including $12.0 million of SBA debentures and $5.3 million of net ATM proceeds; $16.5 million of dividends were paid. Cash declined $25.9 million during the quarter. The reported weighted-average effective yield on debt investments was 14.3%, up from 13.8% at year-end; this is a portfolio yield before company fees and expenses, not a shareholder return or profit margin.

- Debt investments in five portfolio companies were on non-accrual at quarter-end, versus four at December 31, 2022. Their fair value was $20.5 million against $43.1 million cost; Suited Connector was newly on non-accrual.

Outlook, commentary, risks and unusual items
- Management stated that cash, the revolving credit facility, potential SBA debentures and expected portfolio cash flows should provide adequate resources to operate and make distributions for at least the next 12 months. This is management’s assessment, not formal earnings guidance.
- The company had $15.0 million drawn and $85.0 million of reported unused capacity on its revolving credit facility, which matures August 17, 2027. It reported compliance in all material respects with facility covenants. Outstanding SBA debentures were $165.0 million, with $25.0 million of approved but unused commitments.
- Management’s interest-rate sensitivity estimates an annualized $4.2 million increase in net investment income for a 100-basis-point rate rise and a $4.2 million decrease for a 100-basis-point decline, assuming no changes in investments or borrowings. Rate changes can also affect borrowers, funding costs and investment values.
- The filing highlights economic downturn, inflation, supply-chain and labor pressures, geopolitical instability, credit-market access, portfolio-company performance, and uncertain fair values of illiquid investments. A newly disclosed risk concerns strain in the banking system and possible effects on the company and its portfolio companies’ access to cash and banking services.
- Most portfolio investments are Level 3 fair value measurements using significant unobservable inputs. The filing cautions that actual realization values may differ materially from reported estimates.
- After quarter-end, Fidus exited Rhino Assembly on April 4, receiving $14.9 million on debt and realizing approximately $2.1 million on equity. It invested $2.5 million in Puget Collision debt on April 28. On May 1, the Board declared a $0.41 regular, $0.19 supplemental and $0.10 special dividend per share, payable June 28.
- The company issued 260,610 shares through its ATM program during the quarter, receiving $5.3 million net. Its Q1 declared dividend was $0.66 per share. The filing reports no material legal proceedings, no defaults on senior securities and effective disclosure controls.
Important facts for investors to verify
- Track the five non-accrual credits, especially the newly non-accrual Suited Connector exposure, and any subsequent changes to valuations, collections or status.
- Review the assumptions and independent valuation work underlying Level 3 marks, including changes in portfolio-company performance and credit quality.
- Compare portfolio income growth with rising expenses, incentive fees, financing costs and cash collection; PIK interest is taxable income but is not received in cash when accrued.
- Monitor liquidity and leverage, including facility availability and borrowing-base restrictions, SBA commitments and maturities, asset coverage, and the effect of future dividends and investment funding.
- Assess the sustainability and funding of distributions: Q1 dividends declared were $0.66 per share, above Q1 net investment income of $0.59 per share; verify future earnings and the tax character of distributions.
- Check subsequent filings for the Rhino exit proceeds and realized gain, the Puget Collision investment, and the payment of the declared $0.70-per-share June dividend.
