Revenue growth reflected higher-quality traffic and improved monetization in the Rewards business, plus expanded email and SMS re-engagement capabilities. These gains were partly offset by weakness in the employment marketplace. Cost of revenue rose 10% to $267.5 million, broadly in line with revenue growth.
The net loss included $111.1 million of goodwill impairment and intangible-asset write-offs, principally non-cash goodwill impairment. Fluent recorded goodwill impairment charges of $55.4 million in Q2 and $55.7 million in Q4, with the latter including impairment in both reporting units. Goodwill ended the year at $55.1 million, down from $165.1 million.
Liquidity, debt and balance sheet
- Cash and cash equivalents were $25.5 million at year-end, down from $34.5 million a year earlier. Total assets were $184.0 million and shareholders’ equity was $94.0 million.
- Long-term debt had a $41.3 million principal balance at December 31, 2022; the term loan matures March 31, 2026. Its interest rate was 6.17% at year-end, up from an opening rate of 2.50%.
- The company reported compliance with its credit-agreement covenants at year-end. However, FTC and Pennsylvania regulatory matters prevented it from drawing on its $15 million revolving facility because a representation required for new extensions of credit was not satisfied.
- Management said available cash should be sufficient for operations and expected capital expenditures for the next twelve months and beyond. Operating lease commitments were $6.6 million.
- Investing activities used $5.4 million, including the True North acquisition and capitalized software investment; financing activities used $5.4 million.
Material changes, outlook and risks
- Client and sector concentration: One gaming advertiser generated 22.1% of 2022 revenue, versus 11.7% in 2021; gaming advertisers overall generated approximately 35%. The major client has no long-term contract. An international customer also represented approximately 22% of consolidated revenue.
- Market conditions: Management cited slowing economic conditions, inflation, higher interest rates, reduced consumer confidence, and cautious advertiser spending. Fourth-quarter 2022 did not show the typical year-end release of unused advertiser budgets; management said this pattern continued into Q1 2023. The company expects economic uncertainty to persist in 2023, but provided no specific revenue or earnings guidance.
- Operating priorities: Fluent continued its Traffic Quality Initiative, investment in social and influencer traffic, consumer re-engagement, and e-commerce post-purchase advertising. It paused or eliminated lower-priority projects and reduced headcount by approximately 21 employees in Q4 2022 and a further approximately 20 in Q1 2023.
- Regulatory and litigation exposure: The FTC was pursuing a consent order concerning telemarketing practices; Fluent accrued $5.0 million, but the final penalty could be higher or lower and injunctive terms remained under negotiation. Pennsylvania filed a telemarketing-related complaint in November 2022; negotiations continued. In the Berman TCPA class action, a preliminary settlement contemplated $9.75 million in total payments, with Fluent’s contribution stated as $3.1 million. The company also paid $1.7 million to settle a New York sales-tax audit in 2022.
- Other risks: Privacy and telemarketing regulation, data security, dependence on third-party media platforms and publishers, changing tracking technology, client payment risk, goodwill impairment, and variable-rate debt could affect results and liquidity. The company reported full valuation allowances against net deferred tax assets.
- Controls and audit: Management concluded disclosure controls and internal control over financial reporting were effective as of year-end. The auditor issued an unqualified opinion on the financial statements, but did not attest to internal-control effectiveness because Fluent was a non-accelerated filer. The audit identified revenue recognition and goodwill recoverability as critical audit matters.
Investor verification priorities
- Review subsequent updates on the FTC and Pennsylvania matters, including final penalties, restrictions, settlement terms, and effects on the revolving-credit facility.
- Confirm the status and final cost of the Berman settlement and any other TCPA claims or contingencies.
- Track revenue, margins, and cash generation after the Q4 2022 slowdown, particularly advertiser demand, media-acquisition costs, and gaming-client concentration.
- Assess debt service and liquidity under the 6.17% year-end borrowing rate, scheduled principal payments, and continued lack of access to revolver capacity.
- Evaluate whether lower headcount and paused projects affect execution, product development, and the company’s ability to source compliant, cost-effective traffic.
- Monitor further goodwill impairment risk and the assumptions used in valuation, as well as potential dilution from equity awards and acquisition-related shares.
