- Revenue declined 8.4% in Q2 and 9.2% year to date. E-commerce revenue fell 6.6% and 7.9%, respectively; other revenue fell 22.2% and 17.1%.
- Gross margin improved 230 basis points in Q2 and 280 basis points year to date, reflecting lower freight, commodity, and labor costs and improved inventory management. Gross profit dollars nevertheless declined with sales.
- Operating income includes a $19.8 million non-cash impairment of the PersonalizationMall tradename. Excluding that charge, management-reported adjusted EBITDA was $130.1 million for Q2 (down 1%) and $107.6 million year to date (up 4%). These are non-GAAP measures.
- Six-month free cash flow, calculated as operating cash flow less capital expenditures, was approximately $195.0 million, versus $169.8 million a year earlier.
Balance sheet and liquidity
- At December 31, 2023, cash and cash equivalents were $312.0 million, working capital was $202.5 million, and total assets were $1,191.7 million. At July 2, 2023, cash was $126.8 million and working capital was $152.9 million.
- Debt was $191.7 million net of financing costs, including $10.0 million current maturities; gross term loans were $195.0 million. No revolving-credit borrowings were outstanding at quarter-end. The company borrowed up to $82.0 million for seasonal inventory needs and repaid those borrowings in December.
- The revolving facility commitment is $225 million, seasonally reduced to $125 million from January 1 through August 1. The credit agreement matures June 27, 2028; the company reported compliance with its covenants.
- Operating lease liabilities totaled $126.2 million. The company said available cash should support operating needs through the rest of FY2024, with expected revolver borrowing again for pre-holiday needs.
Outlook, commentary, and risks
- FY2024 guidance was revised to revenue decline of 7%–9% year over year; adjusted EBITDA of $95–$100 million; and free cash flow of $60–$65 million. Revenue guidance was reduced, while adjusted EBITDA and free-cash-flow expectations were maintained.
- Management expects sales trends to improve in the second half, but more slowly than previously anticipated. It cited pressured discretionary spending from inflation, higher interest rates, and resumed student-loan repayments; everyday gifting demand weakened, while major-holiday spending held up better than expected but remained cautious.
- Order volume declined, partly offset by higher average order values. Planned reductions in advertising and promotional activity supported margin and expense discipline but may weigh on sales.
- The impairment reflected lower actual and projected PersonalizationMall tradename revenue and a higher discount rate. Valuation depends on estimated cash flows, royalty rates, and discount rates. Seasonal holiday trading is significant: the Thanksgiving-to-Christmas quarter is expected to generate over 40% of annual revenue and all annual earnings.
- Risks include consumer demand, seasonality, shipping and labor costs, competition, customer acquisition and retention, integration of acquired businesses, working-capital needs, and potential future impairment. Management stated pending litigation is not expected to materially affect financial position, results, or liquidity; no material risk-factor changes were reported.
Important facts for investors to verify
- Whether the projected second-half sales improvement and FY2024 revenue, adjusted EBITDA, and free-cash-flow guidance are achieved.
- Whether higher gross margins and cost controls can offset persistent order-volume weakness without undermining future demand.
- The assumptions and sensitivity behind the PersonalizationMall tradename valuation and whether further impairment indicators arise.
- Seasonal cash generation, inventory and purchase commitments, planned revolver usage, debt repayment requirements, and covenant headroom.
- Reconciliations and definitions for non-GAAP guidance and adjusted EBITDA; GAAP results remain materially different when impairment and other adjustments are considered.
