Liberty Media Corporation: FY2021 Form 10-K Summary
Business context and reporting period
Annual report for the year ended December 31, 2021, filed February 25, 2022. Liberty owns interests in media and entertainment businesses through three tracking-stock groups: Liberty SiriusXM, Liberty Braves and Liberty Formula One. Principal businesses are Sirius XM Holdings, Formula 1 and Braves Holdings; Liberty also owns an equity-method interest in Live Nation.
- Liberty owned approximately 81% of Sirius XM Holdings and approximately 31% of Live Nation at year-end.
- Tracking stocks are not separate legal entities. Holders remain stockholders of Liberty as a whole and have no direct ownership or voting interest in the underlying businesses.
- 2021 operations largely normalized from the pandemic-disrupted 2020 period: Formula 1 held a record 22 Events, MLB returned to a 160-game regular season, and Live Nation meaningfully restarted operations in the third quarter.

- Liberty Media Acquisition Corporation completed a $575 million IPO and remains consolidated because Liberty controls approximately 20% of its common stock and governance rights.
- Braves Holdings sold three minor-league clubs in January 2022; the clubs remain affiliated with the Braves under 10-year player-development agreements.
Guidance, outlook, commentary and risks
The filing does not provide formal consolidated revenue or earnings guidance. Management expects future liquidity needs to be funded through cash on hand, operating cash flow, Sirius XM dividends, asset monetizations, margin-loan capacity and debt or equity financing.
- Formula 1 expects continued expansion of its event calendar, sponsorship and digital media businesses, with targets of a net-zero carbon footprint by 2030 and sustainable race events by 2025.
- Formula 1’s leverage covenant was temporarily waived subject to financial conditions, including minimum liquidity of $200 million; testing was scheduled to resume for the four quarters ending March 31, 2022.
- COVID-19, event cancellations, attendance restrictions, travel limitations and reduced discretionary spending remain material risks, particularly for Formula 1, the Braves and Live Nation.
- Sirius XM faces semiconductor shortages, dependence on vehicle sales and automakers, competition from Spotify, Apple, Amazon, Google and other audio platforms, subscriber churn, content-royalty pressure, privacy regulation and cybersecurity risks.
- SXM-7 failed in orbit. Although insured, Sirius XM’s other in-orbit satellites generally are not insured, creating potential operational exposure.
- Debt, refinancing requirements, variable-rate borrowings and the transition away from LIBOR may affect liquidity and interest expense. The filing identifies $1.755 billion of debt maturities in 2023 and $3.827 billion in 2024.
- The Braves face MLB labor uncertainty following the December 2021 player lockout, as well as risks from player contracts, on-field performance and the debt-financed Battery Atlanta development.
- Liberty’s tracking-stock structure creates allocation, governance, valuation and conflict-of-interest risks. John C. Malone beneficially controlled approximately 48% of aggregate voting power as of January 31, 2022.
- Material unusual items included 2020 Pandora goodwill and trademark impairments totaling $976 million, 2021 SXM-7 impairment and insurance recovery, fair-value losses on debt and financial instruments, and a $152 million gain on dilution of the Live Nation investment.
