Financing activities used $59.7 million in 2014.
Changes and drivers
- Automotive mirror shipments rose 11%, from 26.2 million to 29.0 million units, supported by increased auto-dimming mirror penetration. International shipments grew 14%; North American shipments rose 6%.
- HomeLink, acquired in September 2013 for approximately $700 million, contributed to revenue and gross-margin improvement. Gentex finalized purchase accounting in 2014; the acquisition added amortization expense.
- Management attributed the gross-margin increase to product mix, purchasing cost reductions, and the HomeLink acquisition, each estimated to have improved cost of goods sold by approximately 125–150 basis points, partly offset by customer price reductions.
- Other sales rose 27% to $35.4 million; aircraft-window sales increased 54% and fire-protection sales 4%.
- The effective tax rate fell to 30.5% from 32.0%, partly reflecting $5.5 million of R&D credits from amended prior-year returns and other 2014 tax benefits. The filing reports a total $10.3 million tax reduction realized during 2014.
- Gentex repurchased 1.8 million shares for approximately $30.0 million and declared dividends of $0.31 per share, versus $0.28 in 2013. A two-for-one stock split took effect December 31, 2014; share and per-share figures reflect the split.
Outlook, risks and contingencies
For calendar 2015, management estimated revenue of $1.47–$1.54 billion and gross margin of 38.5%–39.5%. Estimated operating expenses were $150–$157 million, capital expenditures $95–$105 million, depreciation and amortization $85–$90 million, and the tax rate 31.5%–32.5%. These estimates depend on vehicle production, mirror option rates, product mix, and other assumptions; the filing highlights continuing uncertainty around production levels, supplier shortages, plant shutdowns, customer cost pressures, and macroeconomic conditions.
- Customer and industry concentration: four automotive customers each represented at least 10% of sales in 2014; loss or reduced production at a major customer could materially affect results.
- Competition, automotive pricing pressure, changing technology, and uncertainty over rear-camera and driver-assistance systems may affect market share and margins. Gentex reported an estimated 90% global auto-dimming mirror share in 2014.
- Variable-rate debt was $265.6 million. A 1% borrowing-rate increase was estimated to raise annual net interest expense by approximately $2.5 million; a swap is intended to fix the rate on $150 million of debt at 1.89% from July 31, 2015 through loan maturity in September 2018.
- Purchase obligations were $176.2 million, primarily for raw materials and capital equipment. Total listed contractual obligations were $403.1 million.
- Management reported no material pending legal proceedings expected to adversely affect financial position or future results. The 2012 AVS patent litigation was settled under a license agreement and dismissed with prejudice.
- Annual impairment testing found no goodwill or indefinite-lived intangible impairment. The company identified judgment-sensitive assumptions in its impairment assessments and potential risks from investment-market declines, customer credit issues, supply disruptions, intellectual-property claims, and manufacturing interruptions.
Investor verification points
- Check the contribution and ongoing economics of the HomeLink acquisition, including amortization and customer retention.
- Compare 2015 guidance with realized sales, margins, expenses, capital spending, and vehicle-production forecasts.
- Track auto-dimming mirror shipment growth, market share, customer concentration, and price reductions.
- Review debt repayment, interest-rate exposure and swap effectiveness, as well as cash deployment for dividends, repurchases, and facility expansion.
- Assess whether the 2014 tax-rate benefit is repeatable; management’s 2015 tax-rate estimate was higher at 31.5%–32.5%.
