Total assets were $2.84 million and current liabilities $510,199. The company reported no long-term debt, committed credit lines, or material off-balance-sheet arrangements. No gross margin was reported; grant revenue substantially offsets eligible program costs.

Material changes and financing

Compared with Q1 2011, grant revenue declined about 4%, R&D expense rose about 28%, and G&A expense declined about 23%; net loss increased about 20%. Management attributed higher R&D principally to manufacturing an MVA vaccine batch, and lower G&A to reduced legal, investor-relations, and stock-based compensation costs. Operating cash use more than doubled, partly reflecting working-capital movements.

Financing activities provided $2.31 million, including approximately $2.0 million net proceeds from a March issuance of $2.2 million in Series A convertible preferred stock and $310,160 from common-stock sales and related receipts. The preferred stock converts at $0.75 per share and was accompanied by three warrant series covering up to 8.8 million shares in aggregate, subject to their terms. The financing’s beneficial conversion feature was recorded as an equity accretion/deemed dividend. In April and May, 810 preferred shares converted into 1.08 million common shares; 1,390 preferred shares remained outstanding as of May 14. The filing reported 17,930,610 common shares outstanding on that date.

Outlook, risks, and commitments

Management said cash resources and NIH grant support were expected to fund planned operations into the first quarter of 2013, but anticipated needing additional capital in 2012 or 2013 and gave no assurance it could obtain financing on acceptable terms. The $20.4 million NIH grant had approximately $3.3 million unused as of March 31, available through August 31, 2012 under the original project period. The company expects ongoing losses and higher R&D spending as development advances.

Clinical programs included an ongoing Phase 2a preventive trial and a Phase 1 trial of a GM-CSF-adjuvanted vaccine that began in April 2012. A Phase 1 therapeutic trial was expected to begin in late 2012, subject to external sponsorship and NIH funding; discussions were underway regarding a planned Phase 2b preventive trial. Clinical efficacy, safety, regulatory approval, trial costs, future grant support, and access to capital remain significant uncertainties. Failure to secure funding could require the company to scale back or terminate operations or seek a merger or acquisition.

Unrecorded vendor and subcontractor purchase commitments were approximately $455,000 ($422,000 expected due in 2012); lease payments were $91,320 for the remainder of 2012, $125,180 in 2013, and $128,920 in 2014. Emory University, a significant stockholder, was a research and licensing counterparty; amounts payable to Emory were $292,958 at quarter-end. The company reported no legal proceedings and no material change in previously disclosed risk factors. Management concluded disclosure controls were effective.
