ETUARY (pirfenidone) generated 99.2% of Q1 2024 revenue. Revenue growth reflected stronger sales initiatives in PRC regions that had lower sales in the prior-year quarter. Cost of revenue fell 13%, partly because the prior-year period included Cangzhou factory stoppage losses. Selling and marketing expense declined 2%; R&D expense declined 17%; general and administrative expense rose 95%, primarily due to higher payroll and miscellaneous costs.
Net income included a noncash $4.3 million gain from remeasuring the preferred stock warrant liability. Basic EPS was $0.09 versus $0.04; diluted EPS was $0.03 in both periods. The diluted calculation excludes the warrant fair-value gain from its numerator. Results attributable to common stockholders also reflect income allocated to the 34.8% noncontrolling interest.
Financial position and liquidity
- At March 31, 2024, cash and cash equivalents were $29.8 million, short-term bank deposits $7.6 million, and long-term certificates of deposit $23.1 million. Together these totaled $60.5 million.
- Current assets were $62.7 million and current liabilities $19.5 million, for a current ratio of approximately 3.2. Total assets were $122.0 million; total liabilities were $33.2 million. The balance sheet reports no borrowings or other debt.
- Cash and cash equivalents decreased $3.7 million during the quarter. Investing cash outflow was $7.2 million, mainly purchases of certificates of deposit; financing cash inflow was $0.7 million from option exercises.
- Management said existing cash, operating cash flows and access to capital markets are expected to fund operations and obligations for at least 12 months after issuance of the financial statements. The company had an accumulated deficit of $78.0 million.
Material changes, outlook and risks
- Compared with Q1 2023, operating income rose 21%, but operating cash flow fell substantially. Management attributed the current-quarter cash generation to net income, partly offset by working-capital movements; the prior period benefited from stronger working-capital cash flows.
- In January 2024, 13,151 preferred shares converted into 8,767,333 common shares. Common shares outstanding increased to 85.4 million at quarter-end from 76.6 million at December 31, 2023. Options and warrants create additional potential dilution.
- ETUARY annual sales reached $112.1 million in 2023. Three PRC Phase 3 trials of pirfenidone for additional indications are underway. F351’s PRC Phase 3 trial for hepatitis B-associated liver fibrosis completed enrollment; last patient out was expected in 2024 and results in early 2025. The company expected to submit a U.S. IND for F351 in late 2024 and, subject to trial results and IND approval, to begin a U.S. Phase 2a study in 2025. A PRC Phase 2 trial of F573 for liver failure is also underway. These are expectations, not financial guidance.
- Key risks include reliance on ETUARY and a concentrated PRC distributor base: three customers accounted for 75.6% of Q1 revenue, and Sinopharm represented 45.4% of receivables. Most deposits and a substantial share of cash are RMB-denominated; PRC foreign-exchange and cross-border transfer restrictions apply. Restricted subsidiary capital and statutory reserves totaled $64.3 million.
- Commitments include $2.0 million for contracted property and equipment purchases and payments tied to F351 regulatory milestones. The filing gives differing R&D commitment figures: $13.0 million in the notes and $25.8 million in MD&A. This difference is not reconciled in the provided text.
- Subsequent events: an April Beijing office lease has monthly payments of approximately $0.1 million for an initial three-year term. In May, Gyre Pharmaceuticals obtained PRC marketing authorization for nintedanib; minimum agreement payments are RMB 35.0 million (about $4.8 million), plus production relocation and manufacturing costs.
- The 2023 stockholder lawsuits were dismissed with prejudice in February 2024; the company reimbursed $0.4 million of related expenses. Management reported effective disclosure controls and no material change in internal control over financial reporting. No material changes to previously disclosed risk factors were reported.
Important facts for investors to verify
- Reconcile the $13.0 million versus $25.8 million R&D commitment disclosures and clarify timing and scope of future spending.
- Track ETUARY sales growth, distributor concentration, and the effect of customer or market changes on receivables and cash collection.
- Assess how much reported earnings growth reflects operating performance versus the noncash warrant remeasurement gain.
- Monitor F351 trial results, U.S. IND timing, and the additional F351 milestone payments and nintedanib agreement costs.
- Evaluate accessible liquidity after PRC restrictions, RMB exposure, capital commitments, and potential dilution from outstanding options and warrants.
