  • Q3 revenue increased 3.4% year over year; nine-month revenue increased 25.2%. Royalties grew 14.9% in Q3 and 28.0% for nine months. Product sales grew 40.9% in Q3 and 70.4% for nine months. Collaborative-agreement revenue fell 68.7% in Q3 and 44.7% for nine months, principally reflecting milestone timing.
  • Q3 net income rose 32.8%; nine-month net income rose 35.8%. Q3 included a $13.2 million gain from remeasuring the TLANDO-related contingent liability, so reported profit growth includes a material non-operating item.
  • Gross margin, calculated as revenue less cost of sales, was 74.6% in Q3 2023 versus 77.4% in Q3 2022, and 76.6% for the first nine months versus 79.7%. Operating margin was 40.9% versus 39.9% in Q3 and 39.5% versus 40.3% for nine months.
  • Operating cash flow increased by $128.6 million year over year for the nine-month period, supported by higher revenue and lower working-capital use. Investing cash outflow was $88.6 million; financing cash outflow was $158.1 million, including $150.1 million of share repurchases.
  • At September 30, cash and cash equivalents were $274.2 million and available-for-sale marketable securities were $209.1 million, or $483.3 million combined. Current assets were $879.0 million and current liabilities $115.2 million.
  • Long-term debt, net of discount, was $1.498 billion, representing $1.525 billion principal of 2027 and 2028 convertible notes. The $575 million revolving credit facility was undrawn; the 2024 convertible notes were converted in full in March 2023. Management reported covenant compliance.

Material changes and management commentary

  • Royalty growth reflected continued uptake of Janssen’s DARZALEX SC and Roche’s Phesgo, partly offset by lower sales of Roche’s Herceptin SC and MabThera SC. Management expects royalty growth from partner launches, with biosimilar competition affecting mature products.
  • Product-sales growth reflected higher bulk rHuPH20 demand and proprietary product sales, including XYOSTED. Nine-month comparisons are affected by the Antares acquisition in May 2022: 2023 includes Antares for the full period, while 2022 includes it only from the acquisition date.
  • Management expects proprietary product sales to grow as it seeks additional TRT market share; bulk rHuPH20 and partnered-device sales may fluctuate with partner demand. Collaborative-agreement revenue is expected to vary with partner milestones and new agreements.
  • Management stated existing cash, cash equivalents and marketable securities should fund operations for at least the next 12 months. It estimated a 2023 annual effective tax rate of approximately 20%. The filing does not provide a specific revenue or earnings forecast.

Outlook, risks and unusual items

  • In September 2023, Halozyme gave Lipocine notice terminating the TLANDO license effective January 31, 2024; Halozyme’s TLANDO rights end upon termination. The notice led to a $13.2 million gain on the contingent liability and a $2.5 million impairment that fully wrote off the TLANDO product-rights intangible asset.
  • Roche reported a delay to the anticipated U.S. Tecentriq SC launch because of CMC-process updates; it expected the updates to support a potential U.S. launch in 2024. Halozyme said ex-U.S. filings were not expected to be affected. Tecentriq SC received Great Britain approval, triggering an $8.0 million milestone payment.
  • Other notable partner developments included positive topline Phase 3 results for BMS’s SC Opdivo with ENHANZE and positive Phase 3 results for Roche’s SC OCREVUS. These are partner programs, and commercialization and regulatory execution depend substantially on partners.
  • Key risks include dependence on ENHANZE and rHuPH20, partner product performance and milestone timing, regulatory and clinical uncertainty, reliance on third-party manufacturers and suppliers, pricing and reimbursement pressures, patent protection, and substantial convertible debt. Conversion could require cash settlement of principal and may dilute shareholders through any share settlement of conversion premiums.
  • The company reported no legal proceedings that it believed could have a material adverse effect. Disclosure controls and procedures were considered effective; no significant change in internal control over financial reporting was reported for the quarter.

Important facts for investors to verify

  • Whether growth in partner-product sales and ENHANZE royalties offsets biosimilar pressure and any partner launch delays.
  • How much reported earnings growth is recurring versus attributable to the $13.2 million contingent-liability gain, and the effect of TLANDO’s termination.
  • The sustainability of operating cash flow and the level of cash, marketable securities, share repurchases and capital needs.
  • Convertible-note maturities, conversion conditions, potential dilution and the company’s ability to meet debt obligations.
  • Progress on partner regulatory filings and launches, as well as continued availability of bulk rHuPH20 and other third-party manufacturing supplies.
