Financial position and liquidity

  • At September 30, 2014, cash and cash equivalents were $46.4m and available-for-sale marketable securities were $88.1m, totaling $134.5m in cash and securities. Current assets were $158.6m and current liabilities were $34.6m.
  • Debt was approximately $50m principal; the balance-sheet carrying amount was $49.8m, including current and long-term portions. The loan bears 7.55% interest, has a $4.25m final payment, and matures January 1, 2018. Scheduled principal-and-interest payments begin February 2015. The company reported covenant compliance.
  • Stockholders’ equity was $39.9m, compared with a deficit of $20.0m at December 31, 2013. The change primarily reflects the February 2014 public offering, which generated $107.7m net proceeds.
  • Cash and securities increased from $71.5m at year-end 2013 to $134.5m at September 30, 2014. Nine-month financing cash flow was $112.0m; investing cash flow was $(46.4)m.

Changes and operating drivers

  • Q3 revenue declined 9% year over year, while nine-month revenue increased 6%. Nine-month product sales rose mainly from bulk rHuPH20 supplied for Roche products and higher Hylenex sales; royalties began contributing following collaborator product launches.
  • Collaborative revenue fell substantially, particularly reimbursements for research and manufacturing services. Some bulk rHuPH20 revenue shifted from collaborative revenue to product sales after collaborator products received marketing approvals, so category comparisons do not represent only changes in underlying activity.
  • Q3 net loss widened by $1.0m year over year; nine-month net loss widened by $1.6m. For the first nine months, lower R&D expense was offset by higher SG&A, cost of product sales, and interest expense.
  • R&D expense fell 21% for the first nine months, primarily reflecting lower Enhanze collaboration manufacturing and Hylenex-related costs. PEGPH20 R&D increased 80% to $24.0m as clinical-trial activity expanded.
  • Operating cash use rose to $46.6m from $34.1m, which management attributed mainly to the timing of receivable collections and accounts-payable payments.

Outlook, commentary, and risks

  • Management said available cash and securities were expected to fund operations for at least the next 12 months. It forecast 2014 net cash burn of approximately $45m–$55m, excluding the February offering proceeds; actual needs depend on development, manufacturing, milestones, royalties, and potential collaborations. The filing cautions that additional financing may be needed and may not be available on favorable terms.
  • Management prioritized PEGPH20 and expansion of Enhanze collaborations. It expected R&D expense to rise with PEGPH20 development and SG&A to increase modestly.
  • PEGPH20’s pancreatic-cancer trials had faced a clinical hold amid concern about thromboembolic events. Enrollment resumed under revised protocols with risk exclusions, anticoagulant prophylaxis, and closer monitoring; trials could be halted again for safety or event-rate concerns. FDA Fast Track designation was granted in September and Orphan Drug designation in October 2014. A lung-cancer trial was planned for December 2014.
  • The FDA had indicated that additional clinical data would likely be required to update Hylenex labeling for insulin-pump use. Halozyme planned to stop the CONSISTENT 1 trial after patients completed 12 months, limit further investment in the program, and seek a partner or other strategic alternative.
  • HYQVIA received FDA approval in September 2014; Baxter announced U.S. launch and first shipments in October, after quarter-end. Roche’s Herceptin SC and MabThera SC were approved and launched in Europe. Future royalty and collaboration revenues depend on collaborator development and commercial performance.
  • In November 2014, after quarter-end, Halozyme announced a reorganization focused on PEGPH20 and Enhanze, reducing its workforce by approximately 13%. It expected a one-time Q4 charge, largely offset by lower compensation expense.
  • Key risks include clinical safety and regulatory outcomes, dependence on collaborators and contract manufacturers, uncertain product adoption and reimbursement, continuing losses and cash requirements, debt covenants, and potential dilution from future financing. The company reported no legal proceedings expected by management to have a material adverse effect.

Important facts for investors to verify

  • Progress and safety data from PEGPH20 trials, including thromboembolic-event monitoring and the status of the planned lung-cancer study.
  • Commercial uptake of HYQVIA and Roche’s subcutaneous products, and the resulting royalties and bulk-supply economics.
  • Hylenex sales, return and chargeback estimates, and the FDA’s data requirements for insulin-pump labeling.
  • Cash burn relative to management’s 2014 estimate, financing needs, and debt payments beginning February 2015.
  • The financial effect of the November workforce reduction and whether targeted spending priorities translate into lower overall cash use.
