Total assets were $108.0 million. The balance sheet reports deferred revenue of $44.4 million, including $9.5 million current, and no interest-bearing debt is listed.
For the first nine months, operating cash use was $47.4 million, investing cash use $0.9 million, and financing cash provided $83.1 million. Financing included $81.5 million net proceeds from a February stock offering. The filing does not report a specific gross-margin percentage; operating results were losses in Q3 and year to date.
Material changes versus comparable periods
- Q3 revenue and earnings fell sharply from 2011, when Halozyme recognized substantial deferred revenue after termination of the Baxter Hylenex collaboration. Nine-month 2011 results also included $18.0 million of upfront fees from ViroPharma and Intrexon and higher collaboration milestone revenue.
- R&D expense rose 44% in Q3 and 21% year to date, primarily from manufacturing activity supporting potential collaborator product launches. SG&A increased with commercial staffing and Hylenex sales and marketing.
- Operating cash use increased from $20.8 million to $47.4 million for the nine-month comparison, reflecting the larger loss and working-capital changes. The public offering increased cash but also increased shares outstanding.
Outlook, developments and risks
- Management estimated 2012 net cash burn of approximately $60–$65 million and said existing cash was expected to fund operations for at least 12 months. It did not expect revenue to fund operations before 2014 at the earliest. R&D and SG&A were expected to increase in 2012; collaboration revenue may fluctuate with services, milestones and partner activity.
- Key programs include proprietary ultrafast insulin, PEGPH20 and HTI-501, and partnered candidates with Roche, Baxter, ViroPharma and Intrexon. Roche had filed a European line-extension application for subcutaneous Herceptin; its subcutaneous MabThera program was in Phase 3.
- In August 2012, FDA issued a complete response letter for Baxter’s HyQ application, requesting additional preclinical data concerning non-neutralizing antibodies to rHuPH20 and possible reproductive, developmental and fertility effects. FDA requested no further rHuPH20 dosing in Baxter’s U.S. HyQ studies pending additional data, delaying review. FDA separately allowed ViroPharma’s Cinryze/rHuPH20 studies to resume in September, with protocol amendments and increased antibody monitoring.
- Major risks include clinical and regulatory uncertainty, dependence on collaborators and contract manufacturers, possible future financing needs and dilution, and limited product-sales revenue. Hylenex shipments are initially deferred until sell-through and returns can be estimated. The company reported no legal proceedings expected to have a material adverse effect; management said disclosure controls were effective and there were no material quarterly changes in internal control over financial reporting.
Important facts for investors to verify
- Cash runway against the stated $60–$65 million 2012 net cash-burn estimate and ongoing research commitments.
- Progress and regulatory implications of the HyQ antibody-related FDA request, including whether concerns affect other rHuPH20 programs.
- Partner execution, clinical milestones and potential revenue timing, particularly for Roche and ViroPharma programs.
- Hylenex sell-through, returns and chargebacks, and the timing of any release of deferred product revenue.
- Future funding requirements and dilution risk following the 2012 equity offering.
