Business and financial performance

  • The Bank primarily gathers deposits and makes loans. Its portfolio is increasingly diversified beyond residential mortgages: commercial real estate loans were $51.2 million, one- to four-family residential loans $73.2 million, multifamily loans $19.6 million, construction loans $16.9 million, and commercial business loans $16.8 million at year-end.
  • Net income rose $287,000, or about 10%, to $3.1 million. Net interest income increased $903,000 (9.3%); lower funding costs helped lift the average spread to 3.80% from 3.62% and net interest margin to 4.06% from 4.00%.
  • Total interest income increased $432,000, while interest expense fell $471,000. The average yield on loans declined 68 basis points, partly offset by higher average loan balances and lower deposit and borrowing costs.
  • Non-interest income was $3.4 million, including $2.7 million of gains on loan sales and $216,000 of gains on securities sales. Non-interest expense rose $513,000 (6.3%) to $8.7 million, led by compensation and benefits, which increased $433,000.
  • Total assets declined $19.0 million (6.4%). Loan growth of $37.8 million was more than offset by lower cash, securities, and loans held for sale. Deposits fell $9.5 million; FHLB advances declined $1.8 million.
  • Cash declined $31.2 million, principally because a temporary $31.7 million deposit present at June 30, 2012 was withdrawn in the first quarter of FY2013. Investing cash outflow was $21.5 million and financing cash outflow was $21.1 million.
  • Stockholders’ equity fell $7.9 million to $42.0 million, primarily due to $10.5 million of treasury-stock purchases, $632,000 of dividends, and a $1.3 million decline in accumulated other comprehensive income. Quarterly dividends were $0.06 per share.

Material changes, outlook, and risks

  • Management intends to continue growing commercial real estate and business lending, diversify products and deposits, control expenses, and sell a substantial portion of fixed-rate residential originations to manage interest-rate exposure. It also identified possible expansion through new offices or acquisitions, but reported no specific acquisition plans. No quantitative earnings or growth guidance was provided.
  • Residential loan originations were $169.8 million and loan sales were $110.4 million in FY2013. Management said loan sales help limit exposure to long-term fixed-rate assets in a low-rate environment.
  • Asset quality weakened from the unusually low FY2012 level: non-performing assets rose to $649,000 (0.23% of assets) from $14,000. Non-performing loans were 0.31% of loans, and the allowance was $2.24 million, or 1.07% of loans. The Bank reported one non-accrual troubled debt restructuring, a $334,000 residential loan; no real estate owned.
  • Classified loans included $5.3 million substandard and $27,000 doubtful; $402,000 was designated special mention. Management said the classified loans were performing according to their terms at year-end. The provision for loan losses was $558,000, down from $856,000.
  • Liquidity warrants attention: year-end cash was $3.7 million, $46.0 million of certificates of deposit were scheduled to mature within 12 months, and $12.7 million of deposits were brokered certificates. The Bank had $107.9 million of additional FHLB borrowing capacity and $29.1 million in commitments to originate loans.
  • Interest-rate risk remains material. A modeled 300-basis-point rate increase reduced estimated net portfolio value by 14.87%; management noted rising rates could increase funding costs and pressure spreads. Available-for-sale securities had $737,000 of unrealized losses, attributed to rate changes rather than credit deterioration.
  • Regulatory capital ratios were strong: tangible and core capital were each 15.16%, and risk-based capital was 25.48%. New regulatory capital rules were expected to begin applying to community banks in 2015.
  • The filing identifies credit, deposit competition and outflow, interest-rate, local economic, regulatory, and expense risks. The company reported no material pending legal proceedings, no material off-balance-sheet arrangements under SEC rules, and no subsequent events requiring disclosure. The auditor issued an unqualified opinion; management concluded disclosure controls and internal control over financial reporting were effective.

Important facts for investors to verify

  • Whether growth in commercial real estate, construction, and business lending is accompanied by adequate underwriting, reserves, and sustained asset quality.
  • The status and repayment performance of the $5.3 million in substandard loans, the $334,000 non-accrual TDR, and the increase in non-performing assets.
  • Deposit stability and renewal costs, particularly for brokered deposits, large certificates, and the $46.0 million of certificates maturing within one year.
  • Whether cash and borrowing capacity adequately support loan commitments and funding needs, and how liquidity changes after the temporary FY2012 deposit outflow.
  • The effect of interest-rate movements on securities values, funding costs, net interest margin, and the Bank’s modeled rate sensitivity.
  • The capital and shareholder impact of substantial repurchases: treasury stock purchases totaled approximately $10.5 million in FY2013; confirm remaining authorization and future capital-allocation plans.
