Hooker Furnishings Corporation — FY2022 Form 10-K

Reporting period: Fiscal year of 52 weeks ended January 30, 2022; comparable year ended January 31, 2021. The filing is an annual report, not a standalone Q4 report. The company designs, imports, markets and manufactures furniture, principally for residential, hospitality and contract markets.

Financial performance

Net sales$593.6 million$540.1 million
Gross profit / margin$101.7 million / 17.1%$112.7 million / 20.9%

Cash from operating activities$19.2 million$68.3 million
Capital expenditures$6.7 million$1.2 million
Cash and cash equivalents at year-end$69.4 million$65.8 million

Sales rose 9.9%, but gross margin fell 3.8 percentage points, principally due to freight and product-cost inflation, supply constraints and Home Meridian channel-exit costs. The prior-year operating loss included $44.3 million of non-cash goodwill and trade-name impairments; FY2022 had no such impairment charge. Operating cash flow declined substantially, with the filing citing working-capital movements, including tax recoverable and inventory-related changes.

Segment results: Hooker Branded sales increased 23.5% to $200.7 million and operating income rose to $30.7 million. Home Meridian sales fell 1.2% to $278.9 million and it recorded a $21.3 million operating loss. Domestic Upholstery sales increased 22.2% to $102.3 million and returned to operating income of $4.3 million. All Other sales were $11.7 million, with $1.1 million operating income.

Liquidity, debt and capital allocation

  • Working capital was $170.8 million; current assets were $227.7 million and current liabilities were $56.9 million.
  • No borrowings were outstanding under the $35 million revolving credit facility at year-end; $27.9 million was available, with $7.1 million of standby letters of credit outstanding. The company reported compliance with its financial covenants.
  • The company had repaid its acquisition-related term loans in FY2021. Balance-sheet operating lease liabilities were $54.0 million; these are lease obligations, not funded borrowings.
  • FY2022 dividends were $0.74 per share, or $8.8 million in total. The quarterly dividend was increased to $0.20 per share; the board declared that amount again in March 2022.

Material changes, outlook and risks

  • Unshipped order backlog increased 25% to $310.1 million. Management cautioned that backlog is not a firm long-term sales indicator and that supply and logistics constraints were delaying conversion to shipments.
  • Vietnam and Malaysia supplier lockdowns, shipping-container and vessel shortages, port congestion, and higher freight costs disrupted deliveries. The company expected Asian supplier capacity to improve during FY2023 Q1, with fuller financial effects expected in Q2. Management also cited inflation, high fuel prices and the war in Ukraine as possible pressures on near-term demand.
  • Home Meridian exited its low-margin ready-to-assemble furniture category and began exiting the Clubs channel, recording $2.6 million and $0.9 million, respectively, in order-cancellation costs. Management estimated the RTA exit avoided at least $10 million of additional costs. Clubs chargebacks were $2.9 million; the auditor identified the related customer-allowance estimate as a critical audit matter.
  • Domestic Upholstery faced foam shortages, raw-material inflation and labor constraints. The company expected price increases to begin benefiting this segment in FY2023 Q2, while warning that further supplier cost increases could offset those benefits. Russian birch plywood availability and potential tariffs were also a risk to Shenandoah production.
  • Management expected approximately $8 million of FY2023 capital expenditures, including showroom renovations and ERP work. The common cloud-based ERP rollout was planned to begin in Hooker Branded in the second half of FY2023, with other divisions to follow; the company gave no specific consolidated sales or earnings guidance.
  • On January 31, 2022, the first day of FY2023, the company closed its Sunset West outdoor-furniture acquisition. Disclosed consideration included $23.5 million cash, $2 million in escrow and up to $4 million in earn-out payments; preliminary purchase-price allocation included $19.1 million goodwill. Management expected the acquisition to be accretive beginning in FY2023, based on preliminary estimates, and anticipated including it in Domestic Upholstery.
  • Key ongoing risks include offshore sourcing concentration, freight and input-cost inflation, tariffs, customer concentration, demand cyclicality, labor availability, acquisition integration and ERP implementation. The top five customers represented 26% of FY2022 sales and 25% of year-end receivables; one customer represented about 8% of sales. The filing reported no pending legal proceedings expected to materially affect results.

Important facts for investors to verify

  • Whether shipping capacity and supplier production improved as expected, and how quickly the record backlog converted into revenue and cash.
  • Whether pricing actions offset freight, materials, labor and other inflation without materially weakening sales volume or margins.
  • Whether Home Meridian’s channel exits and product-mix changes improve profitability, and whether Clubs customer allowances prove adequate.
  • Sunset West’s finalized purchase accounting, earn-out exposure, integration costs and realized contribution to earnings.
  • Progress, cost and operational impact of the ERP rollout, alongside planned capital spending and the continuing dividend.
