  • Revenue mix and growth: Subscription services were $67.5 million in Q3, up 5%; professional services were $2.9 million, down 11%. For the first nine months, subscriptions grew 6% and professional services declined 12%. Acquisitions contributed approximately $0.5 million to Q3 and $2.6 million to nine-month revenue.
  • Cash flow: Nine-month operating cash flow was $50.2 million, versus $43.1 million a year earlier, primarily reflecting higher collections. Investing activities used $47.2 million, including $19.6 million for capitalized software development and net purchases of marketable securities. Financing activities used $4.8 million, including $2.3 million in dividends and $1.6 million in cash share repurchases.
  • Liquidity and debt: At September 30, cash and cash equivalents were $44.1 million and marketable securities were $27.7 million; working capital was positive $12.3 million. There was no debt outstanding. On October 6, 2023, HealthStream replaced its prior facility with an unsecured revolving credit facility of up to $50 million, maturing October 6, 2026, with a potential $25 million accordion, subject to lender commitments and covenants.
  • Other metrics: Contracted hStream subscriptions increased to approximately 5.70 million from 5.35 million a year earlier. Remaining performance obligations were approximately $511 million, with about 44% expected to be recognized over the next 12 months.

Material changes versus the prior comparable period

  • Q3 revenue increased 5%, while operating income more than doubled; nine-month revenue and net income rose 5% and 10%, respectively.
  • Q3 operating margin improved to 6.9% from 3.5%. Cost of revenue as a percentage of revenue was 34%, versus 35%; product development and sales and marketing were also lower as a share of revenue. Higher amortization partly offset expense discipline.
  • Q3 other income fell to $0.6 million from $2.5 million. The prior-year period included a $2.7 million gain on sale of a non-marketable investment. Nine-month other income likewise declined, partly because 2022 included that gain and a $0.9 million CloudCME remeasurement gain.
  • Operating cash flow increased, but cash and cash equivalents declined $1.9 million from year-end as investment purchases, acquisition funding, and other outlays more than offset operating cash generation. Cash plus marketable securities increased to $71.8 million from $53.9 million at year-end.

Outlook, commentary, risks, and unusual items

  • The filing provides no numerical revenue or earnings guidance. Management said existing cash, investments, operating cash flow, and available revolving credit should be sufficient for anticipated needs for at least the next 12 months.
  • Management cited lingering effects of pandemic-era customer booking delays, which may continue to weigh on revenue and earnings, though to a lesser extent for the remainder of 2023. It also cited inflation, elevated interest rates, labor-market pressures, supply-chain disruption, and geopolitical uncertainty affecting the company and healthcare customers.
  • The company eliminated 33 job roles under a consolidation program and recorded $1.1 million of related severance in the first half of 2023; it reported no related Q3 charge and expected no further severance charges.
  • HealthStream began a quarterly dividend policy at $0.025 per share in 2023 and authorized a new $10 million share repurchase program in September. It repurchased 99,090 shares in Q3 for approximately $2.1 million, at an average $21.60 per share. The board may modify or suspend dividends; repurchases are discretionary.
  • Key risks include execution of the single-platform strategy, customer demand and sales cycles, acquisition and integration outcomes, covenant compliance, and potential volatility or impairment in strategic investments. The company reported no material changes to previously disclosed risk factors and effective disclosure controls.

Important facts for investors to verify

  • Whether subscription growth and hStream adoption continue to offset declines in professional services and any lingering booking weakness.
  • How much of the $511 million remaining performance obligations converts to revenue, and on what schedule.
  • Whether operating cash flow remains strong after software development spending, acquisitions, dividends, and repurchases.
  • Terms and covenant capacity of the new credit facility, particularly if the company pursues acquisitions or strategic investments.
  • Adjusted EBITDA is a non-GAAP measure; assess its reconciliation and adjustments alongside GAAP operating income, net income, and cash flow.
