Humacyte, Inc. — FY2023 Form 10-K
Reporting period: Year ended December 31, 2023; filed March 28, 2024. This is an annual report, and the supplied filing text does not provide separate fourth-quarter results. Humacyte is a clinical-stage regenerative-medicine company developing bioengineered human acellular vessels (HAVs). It has not generated product revenue, and its lead 6 mm HAV remains investigational.
Financial performance and liquidity
| Metric | FY2023 | FY2022 |
|---|---|---|
| Revenue | $0 | $1.6 million grant revenue |
| Research and development expense | $76.6 million | $63.3 million |
| General and administrative expense | $23.5 million | $22.9 million |
| Operating loss | $100.0 million | $84.6 million |
| Net loss | $110.8 million | $12.0 million |
| Net cash used in operations | $73.3 million | $71.1 million |
| Cash and cash equivalents at year-end | $80.4 million | $149.8 million |
Gross margin is not applicable to product sales because the company had no product revenue. The filing attributes the higher 2023 net loss primarily to a $10.0 million non-cash loss from remeasuring the contingent earnout liability, versus a $75.8 million non-cash gain in 2022. Other 2023 items included $3.1 million of employee retention credit income, $2.4 million loss on extinguishment of SVB debt, $5.5 million interest income and $6.6 million interest expense.
Working capital was $64.8 million at year-end, down from $134.6 million. Total liabilities were $114.7 million and stockholders’ equity was $13.5 million. The SVB loan was repaid in May 2023. The balance sheet included a $38.6 million revenue-interest liability and $18.9 million of finance lease obligations; contractual undiscounted finance lease payments totaled $25.2 million. The revenue-interest financing carries an initial 7.5% share of global net sales, subject to step-ups and repayment caps under the agreement.
After year-end, Humacyte received approximately $43.1 million net from a March 2024 equity offering and $20.0 million under its revenue-interest purchase agreement. Management said cash on hand was expected to fund operations, including clinical trials and capital expenditures, for at least 12 months from the filing date. The filing also cites $20.2 million of non-cancellable purchase commitments, primarily for R&D.
Business developments, outlook and risks
- Vascular trauma: Humacyte filed a BLA in December 2023 for urgent extremity arterial repair when synthetic graft is not indicated and autologous vein is not feasible. The FDA accepted it and granted Priority Review in February 2024, with an August 10, 2024 PDUFA date. V005 and Ukraine humanitarian-program results support the application; the V005 study was single-arm with historical benchmarks.
- Dialysis access: V007 enrollment was completed in April 2023, with 242 participants in follow-up. The company anticipated completion in 2024 and a possible BLA supplement depending on results. In the earlier V006 randomized trial, HAV did not meet its prespecified secondary-patency non-inferiority endpoint at 24 months, although infections were lower than with ePTFE. V012, a Phase 3 study in women, was enrolling.
- Other pipeline: PAD remains in Phase 2; CABG, pediatric heart surgery and the BioVascular Pancreas program are preclinical. Humacyte reported about 573 HAV recipients across studies and expanded-access programs as of year-end.
- Manufacturing and commercialization: Eight LUNA200 systems were operational, with stated gross capacity of about 7,200 HAVs annually. Commercial production, regulatory approval, reimbursement and market adoption remain unproven. Fresenius Medical Care has specified exclusive development/commercialization rights outside the U.S. and EU for certain HAV uses and collaborates on U.S. commercialization.
- Key risks: Continued losses and cash burn may require further financing; the company has no approved product and may never become profitable. Clinical, regulatory, manufacturing-scale-up, supplier-concentration, reimbursement, partnership and intellectual-property risks are material. The revenue-interest agreement is secured by substantially all assets, restricts additional indebtedness and includes contingent put/call and repayment terms. The company also disclosed dilution exposure from outstanding options, warrants and contingent earnout shares.
The financial statements received an unqualified audit opinion from PwC. Management concluded disclosure controls and internal control over financial reporting were effective at year-end; the auditor did not provide an internal-control attestation because Humacyte qualified for the emerging-growth-company exemption.
Important facts for investors to verify
- FDA’s decision and any labeling or post-approval requirements for the vascular-trauma BLA, including the August 10, 2024 action date stated in the filing.
- Final V007 results and whether they support a dialysis-access BLA supplement, particularly given V006’s missed primary endpoint.
- Current cash runway and the timing, conditions and cost of any additional financing; confirm compliance with the Purchase Agreement’s collateral and debt covenants.
- Manufacturing readiness, production yields, capacity expansion needs, and continuity plans for sole-source plasma and polymer-mesh suppliers.
- Potential reimbursement, adoption and commercial economics, including payments to Fresenius and the revenue-interest financing’s sales-based repayment terms.
- Share dilution and non-cash earnings volatility from the equity offering, options, warrants, contingent earnout liability and other derivative valuations.
