At year-end, cash and cash equivalents were $119.2 million and short-term investments were $54.9 million, totaling approximately $174.2 million. Working capital was $253.5 million; reported total debt was zero. ICON had a $150 million committed revolving credit facility available. Total assets were $1.04 billion and shareholders’ equity was $681.5 million.

Material changes and business developments

  • Net revenue grew in both clinical research, up 4.5% to $874.2 million, and central laboratories, up 12.1% to $71.5 million. The filing attributes $29.7 million of FY2011 revenue to the Oxford Outcomes and Firecrest acquisitions.
  • Profitability fell sharply as direct costs and SG&A grew faster than net revenue, alongside upfront staffing and infrastructure investment for strategic sponsor partnerships and expansion. Excluding $9.8 million of restructuring charges, operating income was $39.2 million, still down 57.4% from FY2010.
  • Operating cash flow declined amid lower net income and higher days revenue outstanding: 47 days at year-end, compared with 37 days in FY2010. Investing activities used $152.4 million, including $69.8 million in acquisition payments, $35.3 million in capital expenditure and net purchases of short-term investments.
  • ICON recorded $9.8 million in restructuring charges for facility closures or relocations and workforce reductions, including the Edinburgh closure and Maryland facility relocation. The year-end restructuring provision was $3.9 million.
  • ICON acquired Oxford Outcomes and Firecrest Clinical in 2011. After year-end it acquired BeijingWits for an initial $9 million and PriceSpective for an initial $40 million; additional milestone payments may apply under both deals.
  • Backlog increased to approximately $2.3 billion from $1.9 billion. Management cautions that backlog may be delayed or cancelled and is not a reliable guarantee of future revenue.

Outlook, risks and other notable items

No specific revenue, earnings or margin guidance is provided. Management expects to spend approximately $35–$40 million over the next 12 months on IT, facility expansion and new offices, and believes foreseeable cash needs can be funded through operating cash flow, existing cash and the credit facility. Management’s strategy emphasizes global scale, strategic client relationships, broader services, operational efficiency, technology and selective acquisitions.

  • Client concentration increased: the top five clients generated 37% of net revenue, versus 33% in FY2010; one client accounted for 13%. Many contracts are long-term fixed-fee arrangements, and project overruns or missed change orders may reduce profitability.
  • Other key risks include client project cancellations or delays, reliance on pharmaceutical and biotech R&D spending and outsourcing, competition and vendor consolidation, employee and patient/investigator recruitment, foreign exchange and tax exposures, regulatory compliance, clinical-trial liability, IT-system reliability, and acquisition integration and contingent consideration.
  • Firecrest contingent consideration was recorded at $40.6 million at year-end. Oxford Outcomes also had outstanding milestone-related amounts; acquisition consideration estimates may change with performance.
  • ICON repurchased 545,597 shares for $9.0 million in 2011; its announced repurchase program was up to $50 million. The company reported no material litigation and no cash dividend policy for the foreseeable future.
  • KPMG issued unqualified opinions on the financial statements and internal control over financial reporting; management also concluded disclosure controls and internal controls were effective.

Investor verification priorities

  • Whether operating margins recover as strategic-partnership and expansion investments convert into revenue.
  • Whether receivables and unbilled revenue growth, and the rise in days revenue outstanding, reverse into stronger cash generation.
  • Whether the $2.3 billion backlog converts on schedule and how much is subject to cancellation or delay.
  • Client concentration, especially the 13% customer exposure, and changes in sponsor spending or outsourcing arrangements.
  • Acquisition integration, post-year-end acquisition costs, and the amount and timing of contingent consideration payments.
  • Restructuring execution, remaining provisions, and actual savings compared with the reported charges.
