Interest expense increased 4.9% to $453.9 million. For the nine-month period, operating income increased 5.3% despite a 1.7% revenue decline, primarily because of lower operating expenses and higher other operating income.

Cash and cash equivalents were $382.8 million at September 30, 2015, down from $457.0 million at December 31, 2014. Total debt was $20.6 billion, compared with $20.3 billion at year-end 2014; net debt was approximately $20.2 billion. The weighted-average interest rate was 8.4%. Approximately 31% of principal debt carried floating interest rates.

Segment performance and changes versus prior period

  • iHM: Q3 revenue increased 2% to $846.9 million, but operating income declined 2% to $261.3 million as higher tower lease expense, music royalties, sales activation costs and commissions offset revenue growth. Nine-month revenue increased 3% to $2.385 billion and operating income increased 2% to $695.9 million.
  • Americas outdoor: Q3 revenue declined 1% to $347.3 million, but operating income increased 2% to $88.6 million. Excluding foreign exchange, Q3 revenue increased $4.0 million. Nine-month operating income increased 3% to $215.4 million.
  • International outdoor: Q3 revenue declined 11% to $348.9 million and operating income declined 36% to $10.7 million. Excluding foreign exchange, revenue increased $5.0 million. Nine-month revenue declined 11% to $1.050 billion and operating income declined 9% to $42.0 million.
  • Foreign exchange: Currency movements reduced reported revenue by $55.5 million in Q3 and $178.4 million in the first nine months. On a constant-currency basis, management reported revenue growth for the consolidated business in both periods.
  • Political advertising: Lower political advertising revenue affected iHM and the media representation business, particularly in the third quarter.
  • Efficiency initiatives: Strategic revenue and efficiency costs were $17.0 million in Q3 and $34.1 million in the first nine months, compared with $17.8 million and $51.6 million, respectively, in the comparable 2014 periods.

Cash flow, debt and liquidity

  • Operating cash flow was negative $363.1 million for the first nine months, compared with negative $28.5 million in 2014. Management attributed the deterioration partly to working-capital changes, including accounts receivable, accrued expenses and accrued interest.
  • Investing activities generated $174.0 million, including proceeds from tower and office-building sales, partly offset by $192.5 million of capital expenditures.
  • Financing activities generated $126.7 million. The company issued $950 million of 10.625% notes due 2023, used primarily to repay 2016 term loans, and borrowed $190 million under its receivables-based credit facility.
  • Cash interest paid increased to $1.364 billion from $1.214 billion in the comparable 2014 period.
  • Debt maturities disclosed as of September 30, 2015 totaled approximately $0.6 million in the remaining three months of 2015, $195.4 million in 2016, $196.4 million in 2017 and $934.1 million in 2018.
  • Management expected approximately $313.8 million of cash interest requirements for the remainder of 2015. It stated that cash on hand, operating cash flow, borrowing capacity and liquidity-generating transactions were expected to fund requirements for at least 12 months, subject to significant assumptions and uncertainty.
  • The company reported compliance with its debt covenants. Its secured net debt-to-EBITDA ratio was 6.6x versus a maximum permitted ratio of 8.75x; covenant-defined EBITDA for the preceding four quarters was $1.888 billion.

Guidance, outlook, risks and unusual items

  • No quantitative revenue or earnings guidance was provided. Management expected continued investment in media and entertainment initiatives and digital billboards, but emphasized uncertainty around operating performance, advertising demand, refinancing and liquidity-generating transactions.
  • Major unusual items included $21.6 million of impairment charges related to billboard permits, $98.7 million of other operating income for the nine months primarily associated with tower sale-leasebacks, and a $5.0 million investment loss in Q3.
  • The company sold 376 broadcast tower sites in two transactions for approximately $375.1 million and sold two San Antonio office buildings for $34.3 million. The transactions created long-term lease obligations, including 15-year tower leases with renewal options.
  • Interest expense and refinancing risk remain significant because of substantial leverage, high interest rates and upcoming maturities. A default could trigger acceleration, cross-defaults and loss of borrowing capacity.
  • Advertising demand is sensitive to GDP, economic conditions and political cycles. International results are exposed to foreign exchange movements and local economic conditions; approximately 31% of debt was floating-rate.
  • Legal and regulatory matters include Los Angeles digital billboard litigation and competition-authority investigations involving outdoor operations in Denmark, Sweden and the United Kingdom. The filing states that outcomes could materially affect results, although no specific loss amount is provided.
  • Management changed the annual testing date for goodwill and indefinite-lived assets from October 1 to July 1. No goodwill impairment was recorded, but the filing identifies substantial sensitivity to revenue growth, margins and discount rates.
  • Seasonality affects results, with the first quarter generally weakest and International outdoor typically strongest in the second and fourth quarters.

Facts investors should verify

  • Whether negative operating cash flow improves and remains sufficient to fund interest, capital expenditures and maturities without repeated asset sales or additional borrowing.
  • The company’s ability to refinance or repay 2016–2018 maturities and maintain compliance with secured-debt covenants.
  • Trends in iHM core broadcast revenue, digital revenue, event revenue and political advertising.
  • Constant-currency performance, occupancy and profitability in International outdoor advertising.
  • The sustainability of efficiency savings and the recurring lease costs created by tower and office sale-leasebacks.
  • Potential future impairment charges for billboard permits, FCC licenses, goodwill and other intangible assets.
  • Developments in the Los Angeles billboard litigation, international competition investigation and other contingencies.
