Immuron Limited — Form 20-F Summary

Reporting period: Fiscal year ended June 30, 2021, with comparisons to fiscal 2020. Although the request identifies “2020 Q4,” this filing is an annual report for FY2021, not a quarterly filing. Financial statements are audited and prepared under IFRS in Australian dollars (A$).

Business context

Immuron is an Australian commercial- and clinical-stage biopharmaceutical company developing oral polyclonal antibodies derived from hyper-immune bovine colostrum. Its marketed products are Travelan, for digestive protection and travelers’ diarrhea, and Protectyn, a digestive and liver health supplement. Revenue fell 94%, principally because COVID-19 travel restrictions sharply reduced Travelan sales. Gross margin was 65.0%, versus 72.6% in FY2020; the filing separately describes cost of goods sold as 35% of revenue, compared with 27% in FY2020. The net loss widened substantially, reflecting the revenue collapse, higher general and administrative costs, and A$2.12 million of share-based payment expense (versus a A$0.53 million credit in FY2020). Other net losses were A$1.34 million, including A$582,528 in foreign-exchange losses and A$759,765 in inventory impairment.

Cash increased largely following equity financing: proceeds from securities issues were A$29.28 million before A$2.75 million of capital-raising costs. Operating cash outflow increased about 30%, which management attributed partly to more prompt supplier payments. Current assets were A$25.75 million against current liabilities of A$1.12 million. The filing reports no credit facilities; liabilities included lease obligations, and cash-flow disclosures show borrowing proceeds and repayments that offset during the year. Accumulated losses were A$65.93 million. No dividends have been paid or are anticipated in the foreseeable future.

Material changes versus FY2020

  • Travelan gross worldwide sales decreased from about A$2.7 million in FY2020 to A$165,686 in FY2021; reported net revenue from all products was A$145,776.
  • Cash rose by A$21.80 million, primarily due to the July 2020 public offering. Ordinary shares outstanding increased from 178.3 million to 227.2 million.
  • Share-based compensation shifted from a A$533,912 credit to a A$2,116,013 expense, substantially affecting the year-over-year loss comparison.
  • Inventory impairment of A$759,765 was recognized, and a A$213,024 provision for sales returns was recorded in connection with the pandemic.

Outlook, management commentary and risks

  • Management stated that year-end cash was expected to support operations and research programs for at least 12 months from issuance of the financial statements. It also acknowledged continuing losses and possible need for longer-term financing. No quantified revenue, earnings or cash-flow guidance was provided.
  • Management expected Travelan sales to remain suppressed while travel restrictions and lockdowns persisted. COVID-19 also disrupted clinical research and trial schedules.
  • For a DoD-supported Campylobacter/ETEC candidate, management planned to submit an FDA IND in Q1 2022, with the first controlled human infection study targeted for the first half of 2022. These were forward-looking plans, not completed milestones.
  • For IMM-529 in recurrent C. difficile infection, the clinical advisory committee had reviewed plans; the protocol, sites and project plan remained under development. The company said orphan-drug designation could be difficult to obtain.
  • Prior IMM-124E studies in NASH, severe alcoholic hepatitis and pediatric NAFLD did not show the intended clinical benefit for those indications; the company discontinued development for those uses. In vitro SARS-CoV-2 neutralization findings were preliminary laboratory results, not evidence of clinical efficacy.
  • Key risks include clinical and regulatory failure, dependence on third-party trial operators and a sole lead-compound manufacturer, uncertain market acceptance, ongoing cash burn, potential financing and dilution, and dependence on Australian R&D tax incentives. Management reported the prior-year material weakness in internal control had been remediated and said no material weakness existed at June 30, 2021.
  • After year-end, a proposed acquisition of a COVID-19 asset did not proceed after Immuron could not satisfy ASX listing requirements within the contractual timetable. Trading resumed September 23, 2021; director Peter Anastasiou resigned the following day.

Important facts for investors to verify

  • Whether Travelan sales recover as travel resumes, and whether the very low FY2021 revenue is representative of ongoing demand.
  • Current cash balance, subsequent operating cash burn, financing needs and dilution exposure from outstanding options and warrants.
  • Actual progress and funding for the planned Campylobacter/ETEC trials and IMM-529 development, including FDA submissions, trial initiation and enrollment.
  • Nature and sustainability of the A$759,765 inventory impairment and A$213,024 sales-return provision, including any later adjustments.
  • Whether the reported A$25.05 million cash balance and management’s 12-month funding assessment remain current after the filing date.
