- Product royalties increased to $184.0 in Q3 from $98.4, and to $404.4 for nine months from $272.9. Growth reflected JAKAVI royalties and especially OLUMIANT royalties, which reached $86.6 in Q3 versus $28.6 a year earlier.
- Q3 milestone and contract revenue was $35.0, from the InnoCare collaboration upfront payment. Nine-month milestone and contract revenue was $45.0, versus $95.0 in 2020.
- Q3 operating margin was approximately 29% and net margin approximately 22%; nine-month operating margin was approximately 22% and net margin approximately 18%. Cost of product revenue was $39.9 in Q3 and $107.1 for nine months; these figures do not include all R&D and commercial costs.
- Cash, cash equivalents and current marketable securities totaled approximately $2.284 billion at September 30, 2021. Current assets were $2.924 billion and current liabilities $742.7 million. Total assets were $4.199 billion and total liabilities $1.050 billion.
- There were no borrowings under the new $500 million, three-year unsecured revolving credit facility. Finance lease liabilities were $33.8 million; acquisition-related contingent consideration was $252.0 million. The filing reports no outstanding conventional borrowings.
Material changes and drivers
- JAKAFI product revenue grew 12% in Q3, with reported volume and price increases. PEMAZYRE revenue also rose as launches expanded; MINJUVI recorded initial revenue following European authorization.
- Operating results improved substantially against 2020, when expenses included the $750 million MorphoSys upfront payment and significant collaboration and priority-review-voucher costs. Nine-month R&D fell to $985.4 from $1,810.0; management attributed much of the decrease to those prior-year items.
- SG&A increased to $190.7 in Q3 and $513.4 for nine months, reflecting commercial and dermatology organization expansion. Nine-month SG&A included a $12.6 DOJ settlement, plus statutory fees, concerning speaker and patient-assistance programs; Incyte said it denied improper claims.
- Q3 included a $27.5 unrealized loss on long-term investments, primarily reflecting MorphoSys share-price movements. For nine months, unrealized investment losses were $28.4, versus gains of $10.9 in 2020. These fair-value changes affected earnings but were not equivalent to operating cash flows.
- Operating cash flow improved from a $231.9 use to $634.1 provided, primarily because of the large MorphoSys payment in 2020 and working-capital changes. Capital expenditures were $146.5 for the first nine months of 2021.
Outlook, risks and contingencies
- The filing provides no numerical full-year revenue or earnings guidance. Management stated that operating cash flow, cash and marketable securities, and the revolver should meet capital needs for the foreseeable future.
- Key commercial risks include reliance on JAKAFI, dependence on a limited number of specialty pharmacies and wholesalers, reimbursement and pricing pressure, competition, and the possibility of generic competition. JAKAFI accounted for about 92% of Q3 product revenue.
- FDA approved JAKAFI for chronic GVHD in September 2021 and OPZELURA for atopic dermatitis; OPZELURA’s U.S. launch began in October, after quarter-end. Updated JAK-inhibitor safety warnings and their potential effect on prescribing and sales are identified as risks.
- Clinical, regulatory, manufacturing, collaboration, and COVID-19-related disruptions could delay development or commercialization. The filing also identifies investment-value volatility, intellectual-property challenges, cybersecurity, and healthcare reform as risks.
- In September, Incyte agreed to collaborate with Syndax on axatilimab, subject to regulatory clearance. The agreement includes a $117 million upfront payment upon effectiveness and a $35 million equity investment; effectiveness was expected in Q4 2021.
- Construction continued on a Delaware laboratory and office building and a Swiss large-molecule production facility, both expected to be operational in the first half of 2022. The filing notes supplier concentration for some inventory components.
Important facts for investors to verify
