Ironwood Pharmaceuticals, Inc. — Q3 2012 Form 10-Q
Reporting period: Three and nine months ended September 30, 2012. Unaudited results; balance-sheet comparisons are to December 31, 2011. Ironwood was preparing for the first U.S. commercial launch of LINZESS, approved by the FDA on August 30 for adults with IBS-C or chronic idiopathic constipation (CIC). U.S. sales were expected to begin in December 2012.

- Profitability and margins: Q3 profit primarily reflected an $85.0 million Forest milestone following FDA approval of LINZESS. The company remained loss-making for the first nine months. Operating and product gross margins are not representative of ongoing product economics before launch.
- Cash flow: Net cash used in operating activities was $47.2 million for the nine months, compared with $67.5 million in 2011. Investing activities used $2.1 million, including $10.6 million of property and equipment purchases; financing provided $87.9 million, principally from the February stock offering.
- Liquidity: At September 30, cash and cash equivalents were $125.9 million and available-for-sale securities were $67.5 million, totaling $193.3 million of unrestricted liquidity. Restricted cash was $7.6 million. Management said available cash was expected to fund projected operating needs for at least 12 months.
- Balance sheet and debt: Total assets were $246.5 million, total stockholders’ equity $182.1 million, and current liabilities $35.6 million. Capital lease obligations totaled approximately $0.6 million; no substantial borrowing balance is reported. Accumulated deficit was $461.2 million.
Changes versus comparable periods
- Q3 revenue increased $84.2 million year over year; nine-month revenue increased $89.5 million. The main driver was the $85.0 million Forest FDA-approval milestone, recognized in full in Q3. Revenue also included license-fee amortization and partner-related activity.
- Q3 operating income shifted from a $21.6 million loss to $47.6 million income, while the nine-month loss narrowed by $30.3 million.
- Nine-month R&D expense increased 37.7%, mainly from higher headcount, linaclotide manufacturing and development activity, facilities costs, and investment in other pipeline programs. Q3 R&D was nearly flat year over year.
- Nine-month G&A expense more than doubled, reflecting increased staffing and commercialization infrastructure, including consulting and launch-related costs. Q3 G&A rose 132.0% year over year.
- Cash and cash equivalents increased $38.6 million from year-end, supported by the $85.2 million net proceeds from a February 2012 stock offering and the Forest milestone, partly offset by operating and capital spending.
Outlook, commentary, and key risks
- Management expected U.S. LINZESS launch in December 2012 and anticipated substantial commercialization and R&D spending for the foreseeable future. The company could not estimate when product proceeds would make it cash-flow positive or profitable.
- Under the Forest collaboration, Ironwood shares equally in U.S. LINZESS net profits or losses. In October 2012, after quarter-end, Ironwood agreed with AstraZeneca to co-develop and co-commercialize linaclotide in China. Terms include a $25 million upfront payment, a 55%/45% split of China net profits or losses for AstraZeneca/Ironwood until a specified milestone, then an equal split, and eligibility for up to $125 million in sales-related milestones.
- Almirall had received a positive European committee recommendation for linaclotide for adult IBS-C; final European approval remained pending. Astellas continued development in its Asian territories.
- Key risks include uncertain launch adoption, pricing and reimbursement, competition, adverse effects and required post-approval studies. The label contraindicated LINZESS in children up to age six and advised against use in ages 6–17; pediatric development depended on further non-clinical work. Supply also depends on third-party manufacturers and partners, creating manufacturing, quality, and capacity risks.
- Commitments included approximately $60.3 million of minimum linaclotide supply purchases through 2017 and an October 2012 lease amendment that increased lease obligations by at least $12.4 million through January 2018. The filing reported no material adverse effect expected from ongoing ordinary-course litigation.
Important facts for investors to verify

- Manufacturing readiness, product supply, and any changes to the disclosed supply commitments.
- Progress on European authorization, China development and collaboration, and FDA-required post-marketing studies.
- Whether liquidity remains adequate as commercialization, R&D, supply, and expanded lease commitments drive cash use.
