Jasper Therapeutics, Inc. — FY2023 Form 10-K
Reporting period: Fiscal year ended December 31, 2023. This is an annual report, not a standalone fourth-quarter filing. Financial statements are audited and presented under U.S. GAAP; amounts below are in U.S. dollars.
Business context
Jasper is a clinical-stage biotechnology company with no approved products and no product-sales revenue. Its lead candidate, briquilimab, is designed to block SCF/c-Kit signaling and is being developed for mast-cell diseases, including chronic spontaneous urticaria (CSU) and chronic inducible urticaria (CIndU), as well as lower-risk myelodysplastic syndrome (LR-MDS) and stem-cell transplant conditioning.
Key programs at year-end included a Phase 1b/2a CSU study commenced in late 2023, a Phase 1b/2a CIndU study planned to commence, a Phase 1 LR-MDS study enrolling patients, and an open-label Phase 1/2 SCID re-transplant study. Eleven SCID patients had been treated; seven showed donor-cell engraftment and functional immune-cell production, with no briquilimab treatment-related serious adverse events reported through December 31, 2023. Jasper completed a 31-patient AML/MDS conditioning Phase 1 trial; all patients engrafted, and no briquilimab-related serious adverse events were reported. Jasper said further development in several transplant indications would depend on a partner.
Financial performance and position
| Metric | FY2023 | FY2022 |
|---|---|---|
| Product revenue | None | None |
| Research and development expense | $51.8 million | $34.6 million |
| General and administrative expense | $17.1 million | $16.6 million |
| Total operating expenses / operating loss | $68.9 million | $51.2 million |
| Net loss | $64.5 million | $37.7 million |
| Net loss per share, basic and diluted | $6.18 | $10.33 |
| Net cash used in operating activities | $52.1 million | $45.9 million |
R&D expense rose 50%, mainly reflecting increased manufacturing and clinical-trial costs as programs advanced. G&A increased 3%. Net loss widened 71%; higher interest income ($5.2 million versus $0.7 million) partly offset operating costs. FY2022 results also included substantial noncash gains from changes in the fair values of warrant and earnout liabilities; the warrants were reclassified to equity in January 2023 and are no longer remeasured. With no product revenue, operating margins are not meaningful.
At December 31, 2023, cash and cash equivalents were $86.9 million, up from $38.3 million; restricted cash was $0.4 million. Total assets were $94.9 million, total liabilities $16.5 million, and stockholders’ equity $78.4 million. The company reported no outstanding debt. Operating cash use increased year over year. Financing activities provided $101.0 million in 2023, principally from equity offerings; investing activities used $0.3 million.
Changes, outlook and risks
- In February 2024, after year-end, Jasper issued 3.9 million shares for estimated net proceeds of $47.2 million. Management said year-end cash plus these proceeds would fund its current operating plan for at least 12 months from the filing date, while stating that additional financing will be needed to continue development over the longer term.
- Management expects substantial losses and higher expenses as clinical development, manufacturing, and public-company costs continue. It provided no revenue or earnings guidance and no specific longer-term cash runway estimate.
- The company has a history of operating losses and negative operating cash flow, with an accumulated deficit of $169.6 million. The auditor highlighted the need for additional financing; management’s stated 12-month liquidity outlook depends on assumptions and future access to capital.
- Key risks include clinical and regulatory failure or delay, dependence on briquilimab, reliance on contract research organizations and a single clinical-supply manufacturer (Lonza), financing needs and dilution, reimbursement uncertainty, competition, and intellectual-property protection. Certain licensed patents are expected to expire in 2027 absent extensions; two Stanford-licensed European patents were subject to oppositions.
- A 1-for-10 reverse stock split took effect January 4, 2024, and Nasdaq notified Jasper on January 19, 2024 that it had regained compliance with the minimum bid-price requirement. The company reported effective disclosure controls and internal control over financial reporting; the auditor did not provide an internal-control attestation, consistent with Jasper’s emerging-growth-company exemption.
Important facts for investors to verify
- Whether the reported 12-month runway remains adequate as actual clinical, manufacturing, and operating costs evolve, and when further financing may be required.
- Enrollment, safety, dose selection, and efficacy readouts from the CSU, CIndU, and LR-MDS trials; distinguish interim observations from final, controlled results.
- Durability and clinical significance of SCID engraftment and immune reconstitution, including follow-up beyond the reported seven of eleven patients.
- Whether Jasper can secure alternative or scalable briquilimab supply, given its reliance on Lonza and contractual limits on changing manufacturers.
- The dilution and potential resale effects of the February 2024 share issuance, remaining shelf/ATM capacity, outstanding options and warrants, and the post-split share count.
- The status and potential impact of the Stanford patent oppositions, the 2027 expected patent expirations, and the obligations under license and CIRM grant agreements.
