Debt comprises $1.05 billion principal of unsecured Senior Notes; no revolver borrowings were outstanding at quarter-end. Revolver availability, net of $27.0 million in letters of credit, was $517.4 million. The quarterly dividend was $0.77 per share ($12.6 million declared and paid). The filing reports no share repurchases under the repurchase program during the quarter.
Material changes and operating drivers
- Revenue declined primarily because average realized sales price fell $0.17/lb (6%) and shipments decreased 8.3 million lb. The lower sales price reflected a $0.20/lb decline in hedged metal cost, partly offset by a $0.03/lb increase in Conversion Revenue.
- Packaging shipments fell 7%, largely from destocking of coated food packaging material. Aero/HS shipments rose 8% on commercial aerospace demand; GE shipments rose 2%. Automotive Extrusions shipments declined 4%.
- COGS fell $88.2 million, including $67.7 million lower hedged metal cost and $20.5 million lower manufacturing conversion and other costs. Management cited lower shipments, maintenance timing, freight savings, improved efficiencies and improved pricing/mix in the quarter’s results.
- Adjusted EBITDA increased $15.7 million. This is a company-defined non-GAAP measure; GAAP net income was $24.6 million.
Outlook, risks and unusual items
- Management expects 2024 Conversion Revenue to improve 2%–3% and Adjusted EBITDA margin to improve 70–170 basis points versus 2023. It expects demand to improve across most end markets; Aero/HS demand remains strong overall, but management anticipates flat 2024 conversion revenue for that market after strong 2023 results, citing a cautious near-term outlook for domestic large commercial jet production.
- Planned 2024 capital spending is approximately $170–$190 million, including about $100 million for a fourth roll coat line at Warrick and approximately $10 million for Trentwood’s Phase VII growth project. Spending may change with business plans, demand and liquidity.
- Other income included a $10.5 million gain on business interruption insurance advances; $9.7 million of net cash proceeds had been received by March 31. Q1 2023 other income included a $15.0 million gain on disposition of property, plant and equipment.
- A $4.2 million non-cash impairment charge comprised a $3.8 million inventory write-down for certain alloying metals and a $0.4 million land impairment. Restructuring costs were $0.1 million.
- Environmental accruals were $16.1 million. The company says remediation may extend 30 years or more and that costs could reasonably exceed the accrual by up to an estimated $11.5 million; estimates may change as investigations, remediation plans and regulatory reviews progress. Newark remediation planning was expected to continue in 2024.
- Key risks include aluminum, alloy, energy and currency price movements; hedging and customer pass-through timing; demand and customer conditions across end markets; operational and supply-chain issues; and the long-term cost and timing of environmental remediation. Management says it believes liquidity is sufficient for obligations and operations.
Important facts for investors to verify
- Whether packaging destocking has ended and whether shipments and demand improve as management expects.
- Progress toward the 2024 Conversion Revenue and Adjusted EBITDA margin outlook, including the aerospace production-rate assumptions.
- Warrick and Trentwood project costs, timing and expected capacity or efficiency benefits, alongside the $170–$190 million capital-spending plan.
- Cash generation and working-capital trends, including reliance on customer supply-chain financing: receivables sold under these programs were approximately 37% of Q1 net sales.
- Environmental remediation developments and whether estimated costs exceed the $16.1 million accrual; also monitor the business interruption insurance claim and cash collection of the recognized gain.
