Nonperforming loans were approximately $8.4 million, or 3.3% of total loans, versus $8.0 million, or 3.04%, at June 30, 2013. Real estate owned was $1.66 million. Dividends paid during the six months were $0.743 million, or 72.8% of net income.

Material changes and management commentary

  • Six-month net income declined despite higher net interest income, chiefly because the prior-year period included a $958,000 bargain-purchase gain from the CKF Bancorp acquisition. Current-period results also reflect the acquired business, which raises operating scale and expenses.
  • Six-month noninterest expense rose 48.2% to $4.031 million, with higher compensation and benefits, occupancy, data processing, and other operating costs. Noninterest income fell to $0.212 million, largely because the prior-year bargain gain did not recur.
  • Management attributed loan growth pressure to weak demand and loan payoffs, including mortgage refinancing. It expects home-loan demand to remain weak until the housing market strengthens, and says it will pursue high-quality lending when profitable, prudent, and consistent with interest-rate-risk strategy.
  • Management said cash declined as excess liquidity was used to repay borrowings. Deposits decreased as certificate-of-deposit customers sought higher yields elsewhere; FHLB advances increased partly to fund the Treasury purchase.
  • Credit indicators were mixed: classified assets fell to $12.7 million from $16.3 million, while nonperforming loans increased. The allowance provision reflected declines in collateral values on impaired residential loans; one related property became REO and another loan secured by nine properties was in foreclosure.

Outlook, risks, contingencies, and unusual items

No numerical earnings or other formal guidance is provided. Management stated that the allowance may not be sufficient to absorb unidentified loan losses. Disclosed risks include economic conditions, local real-estate values, interest rates, competition, regulation, and technology. The filing reports no material change to previously disclosed annual-report risk factors and no legal proceedings.

The company reported effective disclosure controls and no significant quarterly change in internal control over financial reporting. The Federal Reserve did not object to a waiver allowing the mutual holding company to forgo certain dividends through the third quarter of 2014. Management said capital was sufficient to maintain the current dividend policy, but future dividends depend on capital, earnings, liquidity, regulatory requirements, and overall financial condition.

Data note: The quarterly income statement reports federal income tax expense of $246,000; the MD&A text states $278,000 for the same quarter. The filing therefore contains an inconsistency in that figure.

Investor facts to verify

  • How the acquired CKF Bancorp operations affect ongoing earnings, expenses, and year-over-year comparability.
  • Whether nonperforming loans, collateral values, foreclosure exposure, and REO trends improve, and whether the allowance remains adequate.
  • Deposit retention and funding costs, liquidity after the cash decline, and use of FHLB advances.
  • Whether weak loan demand and mortgage refinancing continue to pressure loan balances and margins.
  • The quarterly tax-expense discrepancy and the sustainability of the dividend relative to earnings, capital, and liquidity.
