STANDARD BIOTOOLS INC. quarterly report, Q1 FY2024

Standard BioTools Inc. — Q1 2024 Form 10-Q

Reporting period: Three months ended March 31, 2024. The unaudited results include SomaLogic from January 6, following the merger’s close on January 5, 2024; reported year-over-year comparisons therefore reflect a materially expanded business.

Business context and key financial metrics

Standard BioTools provides proteomics and genomics research tools and services. The SomaLogic merger added its protein biomarker assay, products and services, expanding the company’s proteomics business. Unless stated otherwise, amounts below are in U.S. dollars.

Q1 2024 revenue comprised $23.6 million of product revenue, $21.0 million of services revenue and $0.9 million of collaboration and other revenue. Proteomics revenue was $36.2 million, up 138%; genomics revenue was $9.4 million, down 6%. Management attributed the overall increase primarily to SomaLogic; legacy-business revenue declined by $3.5 million, mainly from lower consumables sales.

Operating expenses were $84.4 million, versus $28.9 million. They included $17.2 million of merger transaction and integration expenses, $4.3 million of restructuring charges, and elevated R&D and SG&A. A $25.2 million bargain purchase gain and $5.2 million of net interest income partly offset the operating loss. The $46.0 million induced-conversion charge for preferred stock increased the loss attributable to common stockholders and is included in that measure, not net loss.

Material changes and liquidity

  • The merger consideration was $444.2 million in equity. The preliminary acquisition accounting recorded a $25.2 million bargain purchase gain because the estimated fair value of acquired net assets exceeded consideration; the filing attributes this primarily to the company’s share-price decline before closing. Purchase accounting remains subject to change during the measurement period.
  • SomaLogic contributed $23.9 million of revenue and $15.3 million of loss from January 6 through March 31. Pro forma combined Q1 2024 revenue and net loss were $46.2 million and $50.0 million, respectively; these unaudited figures are not necessarily indicative of actual results. Q1 2023 pro forma revenue and net loss were $45.5 million and $45.1 million.
  • Operating cash use rose to $62.5 million. Investing cash provided was $318.1 million, largely reflecting $280.0 million of cash and restricted cash acquired in the merger; financing cash use was $19.7 million, including $11.1 million of repurchases and $8.2 million of debt repayments.
  • The company repaid and terminated its term loan facility in March. Remaining debt was principally $54.7 million of 2019 convertible notes, due December 1, 2024, bearing 5.25% interest; the notes may be converted into shares under their terms. The filing says existing liquidity and capital sources are expected to fund operations for at least 12 months from the filing date.

Outlook, risks and unusual items

  • No specific revenue or earnings guidance is provided. Management’s stated priorities include revenue growth, operating discipline and strategic capital allocation. It expects continued R&D investment, additional merger-related expenses during 2024, and G&A expense to trend downward during 2024 as headcount is reduced and merger synergies are realized.
  • On April 25, 2024, the company announced a post-merger restructuring affecting approximately 10% of its workforce. It estimated related expenses of $10–$11 million, including about $4 million of non-cash share-based compensation, expected to be paid over the next three quarters; actual costs may differ.
  • The company’s $50 million share-repurchase authorization runs through March 1, 2026. It repurchased 4.1 million shares for $11.1 million in Q1. Preferred-stock exchanges issued 92.9 million common shares and generated the $46.0 million induced-conversion charge, adding to dilution considerations.
  • Revenue under the Illumina agreement now includes expected royalties following an early-access launch that management determined made commercialization probable. The adjusted transaction price is $158.4 million, with substantially all allocated to a material right expected to be recognized over 2025–2032; commercialization and future revenue remain execution-dependent.
  • Risks include ongoing operating losses and cash burn, execution and integration of SomaLogic, declining genomics revenue, restructuring and cost-reduction execution, and debt maturity. The filing also describes merger-related shareholder litigation and a contemplated $6.2 million settlement with former SomaLogic shareholders, partly involving share repurchases. Management says it cannot estimate possible losses for certain additional contingent matters.

Important facts for investors to verify

  • Cash-burn trends, liquidity needs and the resolution or conversion of the 2019 notes at their December 2024 maturity.

  • Final acquisition-date fair values and any changes to the bargain purchase gain during the measurement period.
  • Illumina commercialization and royalty assumptions, and the status and ultimate cost of shareholder litigation and the contemplated settlement.
  • Share count, equity-award dilution and the company’s capital allocation, including additional repurchases.
