Gross margin declined mainly because of higher raw-material and manufacturing costs, inventory obsolescence and shipping costs. Selling, general and administrative expense rose to $63.4 million from $60.8 million, while commissions and incentives declined to $97.3 million from $103.5 million. The company recorded a $2.2 million impairment of its GEG investment; this non-cash charge contributed to lower earnings. FY2022 included a $1.2 million foreign-currency translation loss in other comprehensive income.

Revenue fell in the Americas by 10.6% to $138.3 million, while Asia/Pacific & Europe revenue rose 3.8% to $68.0 million. Foreign exchange reduced reported revenue by approximately $4.5 million. Active customers decreased 13.1% to 93,000; active independent distributors were unchanged at approximately 63,000. Total active accounts declined 8.2% to 156,000.

Cash used in investing activities was $1.5 million, primarily for fixed assets. Cash used in financing activities was $9.0 million, including $8.8 million of share repurchases and $0.4 million in dividends. The company repurchased 1.3 million shares during FY2022. It declared a quarterly dividend of $0.03 per share and said it expected a comparable quarterly dividend for the foreseeable future, subject to board discretion and financing restrictions.

Outlook, risks and unusual items

Management provided no quantified FY2023 revenue or earnings guidance. It said its priorities include growing the active-account base, recruiting distributors, encouraging repeat orders after initial enrollment, continuing the red-carpet distributor program, expanding its mobile app and launching products in additional markets. Management expressed hope for Americas revenue growth, while noting continuing uncertainty from COVID-19 and its effects on distributor activity, supply chains and demand.

Credit covenant: At June 30, 2022, LifeVantage did not meet the credit facility’s minimum fixed-charge coverage covenant. The facility had no borrowings outstanding, and the lender granted a waiver for the breach. The company said it was renegotiating the facility and expected a revised agreement in the first quarter of FY2023. The $5.0 million revolving facility is secured by substantially all company and subsidiary assets and contains restrictive covenants.

Other risks and contingencies: Revenue depends on a relatively concentrated product portfolio and independent distributors; distributor retention, regulatory limits on product and income claims, product liability, third-party manufacturing and logistics, foreign exchange, and competitive and macroeconomic pressures are significant risks. The company disclosed a class-action lawsuit alleging securities-related claims; the court denied class certification in April 2022 and stayed the case through September 23, 2022. No loss accrual was recorded because management did not consider a loss probable or estimable. Management and the auditor reported effective internal control over financial reporting at year-end. The auditor issued unqualified opinions on the financial statements and internal controls.

Most important facts for investors to verify

  • Track revenue, margins and earnings recovery after two consecutive years of revenue decline and the sharp FY2022 profit reduction.
  • Monitor active customer and distributor counts, especially the ongoing customer decline and Americas account losses.
  • Confirm the outcome and terms of the credit-facility renegotiation, covenant compliance and availability of the revolving line.
  • Assess whether new products, the Philippines launch and distributor initiatives produce sustained sales rather than temporary launch activity.
  • Review developments in the stayed class action and any regulatory, product-claim or product-safety matters.
