Material changes and business developments
- Revenue growth came primarily from royalties and Captisol sales. Ligand said Promacta, Kyprolis and Captisol together generated more than 70% of 2013 revenue, highlighting material product and customer concentration.
- Partner milestones and licensing activity included a $3 million nonrefundable Spectrum license fee for Captisol-enabled melphalan, a $3.5 million upfront payment to acquire Selexis royalty and milestone rights, and milestones associated with delafloxacin, topiramate, Duavee and Noxafil-IV.
- Duavee received FDA approval in October 2013 and was launched in the U.S. in Q1 2014. Merck’s Captisol-enabled Noxafil-IV NDA received FDA Priority Review in November 2013; regulatory action in the U.S. and EU was expected in 2014.
- Ligand initiated a Phase 1 trial of its glucagon receptor antagonist LGD-6972. The Captisol-enabled melphalan program had completed enrollment in a pivotal trial. Merck advanced its Alzheimer’s BACE inhibitor MK-8931 into Phase 3.
- MedCo terminated development of Captisol-enabled intravenous clopidogrel and returned rights to Ligand; Ligand recorded a $0.5 million noncash IPR&D impairment. Merck also discontinued dinaciclib development for chronic lymphocytic leukemia.
- Avinza-related discontinued operations contributed a $2.6 million gain in 2013 from revisions to estimates associated with the 2007 product-line sale; the company continued to report legacy return and co-promotion obligations.
Outlook, risks and contingencies
Ligand gave no quantified revenue, earnings or cash-flow guidance. Management expected cash, investments and current and future royalty, license and milestone receipts to fund operations and capital needs for at least 12 months, including repayment of the term loan. It cited anticipated growth in Captisol sales and Promacta and Kyprolis royalties, recent approvals and prospective milestones. Management also said it could reduce discretionary spending or seek financing if revenue and operating cash flow fell short; financing might be unavailable or dilutive.
- Revenue concentration: Promacta, Kyprolis and Captisol are significant revenue sources; setbacks in partner commercialization, safety, reimbursement, competition or regulatory status could materially affect results.
- Captisol supply: Hovione is the sole supplier. Supply disruption, manufacturing problems or customer demand exceeding available inventory could interrupt sales and development.
- Partner and development dependence: Partners control many programs and may slow, discontinue or terminate development; clinical outcomes and regulatory approvals remain uncertain.
- Liquidity and obligations: Negative working capital, near-term debt maturity, lease commitments and contingent-value-right and revenue-sharing obligations remain relevant. Ligand reported $14.4 million of future operating lease obligations before expected sublease receipts.
- Legal matter: A securities and derivative lawsuit naming Ligand and its CEO was dismissed with prejudice in August 2013; plaintiffs appealed in September. The outcome was not determinable in the filing.
- Controls and audit: Management reported remediation of the previously disclosed material weakness in controls over non-routine transactions and contingent-liability valuations. Management and the independent auditor concluded controls were effective as of December 31, 2013; the financial-statement audit opinion was unqualified.
Subsequent event: Ligand recognized a $1 million commercial milestone in Q1 2014 after Kyprolis 2013 sales exceeded $250 million.
Important facts for investors to verify
- How much future royalty growth is attributable to Promacta and Kyprolis, and how sensitive is it to partner sales and product concentration?
- Whether Captisol supply capacity and inventory can support commercial and clinical demand, given the sole-source arrangement with Hovione.
- Liquidity available to repay the August 2014 term loan and meet other obligations, and whether additional financing or equity issuance is needed.
- Regulatory and clinical progress for Noxafil-IV, melphalan, MK-8931 and other partner programs, and the timing and probability of related milestones or royalties.
- Potential cash payments under CyDex and Metabasis contingent value rights, revenue sharing, legacy Avinza obligations and the appealed litigation.
- Whether reported profit and operating cash generation persist without the nonrecurring Avinza gain and other timing or noncash effects.
