Material changes and segment performance
- Revenue growth comprised 5.1% organic growth and a 7.5% acquisition contribution, offset by a 3.4% foreign-exchange impact.
- North America revenue was $1.046 billion, up 1.6%; Segment EBITDA was $149.4 million, up 2.2%. Lower scrap prices reduced segment EBITDA by $9.2 million year over year.
- Europe revenue was $487.3 million, up 16.1% (14.0% organic growth, partly offset by a 10.7% currency effect); Segment EBITDA was $46.5 million, up 13.0%, with margin down to 9.5% from 9.8%.
- Specialty revenue was $240.5 million, up 36.0%, largely from acquisitions; Segment EBITDA was $25.4 million, up 42.7%, and margin improved to 10.5% from 10.1%.
- Gross margin contracted 0.7 percentage points, mainly from mix toward lower-margin Europe and Specialty operations and weaker North American salvage margins. Facility and distribution costs declined as a share of revenue, including from lower fuel prices and integration savings.
Segment EBITDA is management’s segment measure and is not GAAP net income; the filing reconciles it to net income.
Outlook, risks and unusual items
- Management estimated 2015 net income of $420–$450 million and diluted EPS of $1.36–$1.46, excluding restructuring and acquisition-related expenses, acquisition/divestiture gains or losses (including contingent consideration fair-value changes), and debt-extinguishment loss. It also anticipated approximately $425 million of operating cash flow and $150–$180 million of capital expenditures for 2015.
- Management expected additional acquisition-integration costs in 2015; estimated remaining costs to complete specified plans were less than $5 million. Additional Specialty integration synergies were expected through the remainder of 2015 and first half of 2016.
- Q1 restructuring and acquisition-related expenses were $6.5 million, mostly integration costs. The quarter also included a $1.0 million impairment of a U.K. equity-method investment. Currency effects reduced diluted EPS by about $0.02 versus Q1 2014; foreign-currency translation drove a $54.8 million other comprehensive loss.
- Scrap and other metal prices fell 25% sequentially in Q1, pressuring revenue and margins; management noted margin effects may persist until inventory costs adjust. Currency translation and foreign-exchange transactions remain material exposures; management expected adverse currency effects on revenue growth to continue during 2015.
- Variable-rate debt creates interest-rate exposure: $558 million was unhedged at quarter-end, and a 100-basis-point rate move was estimated to change interest expense by $5.6 million over 12 months. The company reported compliance with credit-agreement covenants and approximately $1.2 billion of facility availability.
- Management said existing contingencies, including litigation and environmental matters, were not expected to materially affect financial position, results or cash flows. The filing identifies seasonality, acquisition execution, working-capital volatility, financing access, and vehicle-parts demand and pricing as relevant uncertainties. No specific forward-period earnings guidance beyond the stated 2015 estimates was provided.
Most important facts for investors to verify
- Whether organic growth and the expected benefits of acquisitions and integration synergies persist, especially in Europe and Specialty.
- Whether scrap-metal prices, salvage-vehicle costs and inventory adjustments stabilize, and how they affect North American margins.
- Whether foreign-exchange headwinds and the effective tax rate develop as management expected.
- Whether cash conversion, debt reduction, capital spending and liquidity remain consistent with the 2015 outlook and debt covenants.
- Whether the 2015 EPS estimate is achieved on its expressly adjusted basis; reconcile exclusions with reported GAAP results.
