MAGNITE, INC. quarterly report, Q1 FY2024

Magnite, Inc. — Q1 2024 Form 10-Q

Reporting period: Three months ended March 31, 2024; comparisons are to Q1 2023 unless otherwise noted. Magnite operates a global sell-side digital advertising platform across CTV, mobile, and desktop. Figures below are in millions of U.S. dollars unless stated otherwise.

Gross margin was approximately 55.9%, compared with 4.1% in Q1 2023. The sharp increase chiefly reflects a $69.7 million year-over-year reduction in depreciation and amortization, including acquired intangible assets that became fully amortized in 2023; gross margin also varies with the mix of gross- versus net-reported revenue. Magnite reported $130.6 million of Contribution ex-TAC, a non-GAAP measure, up 12%. Revenue by channel was CTV $72.6 million (+23%), mobile $54.0 million (+12%), and desktop $22.8 million (-1%).

Cash and cash equivalents were $252.8 million at quarter-end, down from $326.2 million at December 31, 2023. Cash used in investing activities was $9.3 million, including $5.9 million of property and equipment purchases and $3.4 million of capitalized software development. Operating cash use reflected working-capital outflows of $73.5 million, principally timing differences in buyer receipts and seller payments.

Debt and liquidity

Quarter-end debt principal totaled $570.1 million: $365.0 million under the Term Loan B facility and $205.1 million of convertible senior notes. Balance-sheet debt, net of discounts and issuance costs, was $552.7 million. Magnite refinanced its prior term loan in February 2024 with a $365 million, seven-year secured term loan and a $175 million revolving facility. The term loan’s contractual interest rate was 9.79% at March 31; the filing reports an effective rate of 11.03% for the term-loan interest calculation. The notes carry a 0.25% coupon and mature in March 2026.

No revolver borrowings were outstanding; $169.8 million was available after $5.2 million of letters of credit. The company reported compliance with debt covenants. Management believes cash, expected operating cash generation, and revolver availability are sufficient for liquidity needs for at least the next 12 months. Gross debt exceeded cash by approximately $317.3 million.

Material changes and unusual items

  • Revenue growth was driven mainly by CTV and mobile. CTV rose to 49% of revenue from 45% a year earlier.
  • The company recorded a $7.4 million loss on extinguishment of debt related to the February refinancing; Q1 2023 included an $8.5 million gain from repurchasing convertible notes.
  • Q1 2024 general and administrative expense included $3.1 million of refinancing-related costs. There were no merger, acquisition, or restructuring costs, versus $7.5 million in Q1 2023.
  • Magnite extended estimated network hardware useful lives from three to five years effective January 1, 2024. It estimates this change will reduce 2024 depreciation expense by $11.4 million. The filing says the change reduced Q1 operating loss by $3.6 million and increased net loss by $2.0 million, or $0.01 per share.
  • Magnite wrote off $18.5 million of doubtful accounts allowance, primarily related to a buyer that filed for bankruptcy in 2023. The allowance for doubtful accounts was $2.5 million at March 31, versus $20.4 million at year-end.

Outlook, risks, and commitments

Management expects 2024 revenue and Contribution ex-TAC to increase year over year, with CTV the largest growth driver. No specific numeric full-year guidance is provided in this filing. Management expects cost of revenue to decline in absolute dollars, while sales and marketing, technology and development, general and administrative expenses, and investing cash outflows are expected to increase in the remainder of 2024.

Management cites macroeconomic weakness and ad-budget pressure as risks, as well as potentially lower CTV take rates as the business mix shifts toward large publishers and reserve auctions. Changes to third-party identifiers could disrupt targeting and advertising prices; Google’s cookie deprecation timing had been delayed until at least 2025 without a specific replacement date. Other exposures include working-capital timing, buyer nonpayment while seller obligations remain, floating-rate debt, and foreign currency movements. The filing estimates a 100-basis-point rate increase above the term-loan SOFR floor would add about $3.7 million to annual interest expense before offsets.

Non-cancelable obligations include $67.4 million due under other agreements, including a $57.6 million minimum cloud-managed-services commitment from July 2024 through June 2025. The company reported no material expected adverse effect from pending legal matters, but outcomes are uncertain. Disclosure controls were assessed as effective at the reasonable-assurance level.

Most important facts for investors to verify

  • Whether revenue and CTV growth translate into sustained Contribution ex-TAC and cash generation, particularly given CTV take-rate and auction-mix trends.
  • How much of the improved GAAP operating result reflects lower acquired-intangible amortization and the hardware useful-life estimate rather than underlying operating leverage.
  • Whether buyer collections and seller-payment timing normalize, and the remaining exposure to the bankrupt buyer and other receivables.
  • The cash and interest-cost implications of the new secured, floating-rate term loan, the 2026 convertible-note maturity, and the substantial contractual commitments.
  • Whether the stated 2024 outlook is achieved; the filing provides directional expectations but no numeric annual guidance.
