Revenue by channel: CTV $282.1 (+5%), mobile $232.5 (+21%), and desktop $105.1 (−9%). CTV represented 46% of revenue, mobile 37%, and desktop 17%. International revenue was $157.5, versus $129.4 in 2022. Revenue is reported net for most marketplace transactions, but gross for certain managed campaigns; gross-basis revenue was 18% of total in both years.

Operating cash flow benefited from $75.5 million of working-capital changes, principally timing of buyer receipts and seller payments. Investing cash outflow was $37.4 million, including $26.8 million of property and equipment purchases and $10.6 million of capitalized software. Financing cash outflow was $177.8 million, mainly reflecting $165.5 million spent repurchasing convertible notes. Cash and cash equivalents were $326.2 million at year-end, approximately unchanged from 2022.

Balance sheet, debt, and liquidity

  • At December 31, 2023, gross principal debt was $556.1 million: $351.0 million on the term loan and $205.1 million of convertible notes. Cash less gross principal debt was approximately $229.9 million of net debt.
  • Current assets were $1,523.0 million and current liabilities $1,402.1 million (current ratio approximately 1.09). These totals are heavily influenced by gross-billed accounts receivable of $1,176.3 million and seller payables included in accounts payable and accrued expenses of $1,333.2 million.
  • Accounts receivable were concentrated: two buyers represented 48% and 11% of year-end receivables. The allowance for doubtful accounts rose to $20.4 million from $1.1 million; a buyer bankruptcy contributed $4.2 million of bad-debt expense.
  • On February 6, 2024, after year-end, Magnite refinanced its prior credit facilities with a $365 million secured term loan maturing in 2031 and a $175 million secured revolving facility maturing in 2029. The term loan bears interest at Term SOFR plus 4.50%; revolving-loan margins vary with leverage.
  • The 2023 term loan’s stated year-end contractual rate was 10.56%. The new agreement includes restrictive covenants and a springing first-lien net leverage limit of 3.25:1 if revolver utilization exceeds 35% of commitments. The company reported compliance with its prior debt covenants at year-end.

Material changes and unusual items

  • Cost of revenue rose 33%, principally due to $64.0 million of incremental accelerated amortization related to the CTV-platform integration, alongside higher hosting, data-center, bandwidth, and traffic acquisition costs. Magnite completed migration to its unified Magnite Streaming platform early in Q3 2023.
  • Accelerated amortization of acquired intangibles increased 2023 expense by $97.6 million and reduced earnings per share by $0.71, net of tax. This is a significant contributor to GAAP losses; it is non-cash, but does not eliminate the underlying operating cost of the business.
  • Magnite recorded a $26.5 million gain on extinguishment of debt after repurchasing $194.9 million principal amount of convertible notes for $165.5 million. Interest expense, net, was $32.4 million.
  • Restructuring and integration costs were $7.5 million, including severance, facility loss contracts, exit costs, and asset impairment. The company also recorded $72.6 million of stock-based compensation.
  • Revenue grew, but gross profit fell and adjusted EBITDA declined as operating costs outpaced growth. CTV revenue growth was moderated by a shift toward large sellers using lower-take-rate reserve auctions; desktop revenue declined.

Outlook, risks, and contingencies

Management expects 2024 revenue and Contribution ex-TAC to increase year over year, with CTV expected to be the largest growth driver. It expects cost of revenue and sales and marketing expense to decline in absolute dollars, largely because accelerated amortization and acquired-intangible amortization are winding down. Technology and development, general and administrative, and investing outlays are expected to increase. The filing provides no specific numerical revenue or earnings guidance.

Management cites macroeconomic pressure on advertising budgets and inflation, intense competition and pricing pressure, lower take rates and buyer concessions, reliance on a small number of major buyers and concentrated CTV sellers, and the possibility that growth occurs through inventory Magnite cannot access. Other material risks include privacy regulation and third-party-cookie deprecation, cyber incidents and platform outages, execution risks from the CTV platform integration, buyer credit and collection exposure, and debt covenants and refinancing needs. The company said routine legal and regulatory matters were not expected, based on information available at year-end, to have a material adverse effect; outcomes remain uncertain. It reported no known material cybersecurity incident and effective disclosure controls and internal control over financial reporting; the auditor issued unqualified opinions.

The board authorized a new repurchase plan of up to $125 million in February 2024, covering common stock or convertible notes through February 2026. Repurchases are discretionary and may reduce cash reserves. Magnite does not anticipate paying cash dividends.

Most important facts for investors to verify

  • Whether 2024 CTV growth and improved platform efficiency offset lower take rates, reserve-auction mix, and continued desktop weakness.
  • How much of the GAAP loss reflects accelerated amortization versus recurring operating costs, and whether Adjusted EBITDA and cash generation improve.
  • Buyer credit quality, collection timing, receivables concentration, and the large seller-payable balance; verify subsequent collections and any further buyer defaults.
  • The new credit agreement’s effective borrowing costs, covenant headroom, scheduled principal payments, and the company’s capacity to service debt while funding investment and buybacks.
  • Progress on privacy-compliant identity solutions, regulatory obligations, and access to CTV inventory as third-party cookies are phased out.
