| Metric | Q1 2022 | Q1 2021 | Change |
|---|---|---|---|
| Revenue | $118.1 million | $60.7 million | +94% |
| Revenue ex-TAC (non-GAAP) | $107.1 million | $59.9 million | +79% |
| Gross profit | $58.7 million | $40.0 million | +47% |
| Operating loss | $(39.8) million | $(13.8) million | Loss widened |
| Net loss | $(44.6) million | $(12.9) million | Loss widened |
| Adjusted EBITDA (non-GAAP) | $28.8 million | $9.4 million | +208% |
| Cash from operating activities | $21.6 million | $(1.2) million | Improved |
Gross margin was approximately 49.7%, versus 65.8% a year earlier; management attributed the decline principally to a larger share of revenue reported gross after SpotX. Operating loss was 33.7% of revenue, versus 22.7%. Adjusted EBITDA was approximately 24.4% of revenue, versus 15.4%. These non-GAAP measures are supplemental and have limitations described in the filing.
Revenue growth reflected organic gains and acquired SpotX and SpringServe revenue. On a pro forma basis including those businesses in the prior-year period, revenue increased 6%. CTV revenue was $51.4 million (44% of total), compared with $12.0 million (20%); desktop revenue was $27.6 million versus $20.9 million, and mobile was $39.0 million versus $27.9 million. Revenue ex-TAC grew 253% in CTV, 32% in desktop, and 37% in mobile. Management cautioned that acquisition-related gross-basis reporting increases reported revenue and reduces gross-margin percentage without changing underlying gross profit or Revenue ex-TAC.
Balance sheet, debt, and liquidity
At March 31, 2022, cash and cash equivalents were $204.6 million, down from $230.4 million at year-end. Total assets were $2.52 billion and stockholders’ equity was $837.9 million. Gross debt principal was $757.3 million: $400.0 million of 0.25% convertible notes due 2026 and $357.3 million under the Term Loan B Facility. The term loan’s contractual rate was 5.80% at quarter-end and is variable. The company reported covenant compliance; $59.7 million remained available under its $65.0 million revolver after letters of credit.
Cash and restricted cash declined $25.8 million during the quarter. Investing used $31.3 million, including $20.8 million for Carbon, $7.2 million for property and equipment, and $3.4 million for capitalized software. Financing used $16.4 million, including $12.1 million for share repurchases and $4.3 million in taxes on net share settlement. Management believes cash, operating cash flows, and available revolver capacity are sufficient for at least 12 months, while noting working-capital timing and macroeconomic conditions could affect liquidity.
Outlook, commentary, and notable items
- Management expects revenue, Revenue ex-TAC, and Adjusted EBITDA to increase through the remainder of 2022; the filing provides no specific numerical forecast.
- Management targets more than $35 million in run-rate operating cost synergies over two years from SpotX and reported significant progress. It expects further cost increases in 2022 for hiring, hosting, office return, and operating scale.
- CTV is expected to be the largest future growth driver; management also expects mobile to outgrow desktop. It warned that desktop may dampen overall growth and that CTV growth depends on inventory access, publisher adoption, and industry development.
- Q1 included $6.8 million of merger, acquisition, and restructuring costs, including $3.3 million of abandoned-technology impairment and $1.9 million of non-cash stock compensation. Acquired-intangible amortization was $38.5 million, and total stock-based compensation was $16.6 million.
- Carbon was acquired for $23.1 million in cash, including a $2.3 million indemnification holdback. In April, after quarter-end, Magnite repurchased and retired 312,497 shares for $3.5 million.
- Risks highlighted include weaker ad budgets from inflation, supply-chain disruptions, geopolitical events and other economic uncertainty; privacy regulation and identity changes; intense competition and “walled gardens”; dependence on major buyers and sellers; technology, fraud, and cybersecurity risks; acquisition integration and synergy execution; variable-rate debt and foreign exchange exposure. Management said known legal matters were not expected to have a material adverse effect, but outcomes remain uncertain.
Important facts for investors to verify
- Separate organic performance from acquisition contributions: reported revenue rose 94%, while pro forma revenue growth was 6%.
- Track CTV growth, revenue mix, and the effect of gross-versus-net revenue recognition on reported margins.
- Assess whether operating leverage and the targeted synergies materialize alongside rising personnel, hosting, and other expenses.
- Monitor cash conversion and working-capital timing, particularly buyer collections versus payments to sellers, as well as repurchases and capital spending.
- Review debt service and refinancing exposure, including the variable-rate term loan, convertible-note dilution conditions, and covenant headroom.
