MacroGenics, Inc. — FY 2014 Form 10-K

Reporting period: Fiscal year ended December 31, 2014. The filing also provides unaudited fourth-quarter results. It had no approved products or product-sale revenue.

Financial performance and position

MetricFY 2014FY 2013
Total revenue$47.8 million$58.0 million
Research and development expense$70.2 million$46.6 million
General and administrative expense$15.9 million$11.1 million
Operating income (loss)$(38.3) million$0.4 million
Net income (loss)$(38.3) million$(0.3) million
Basic and diluted loss per share$(1.40)$(0.04)
Net cash used in operating activities$(32.8) million$(14.2) million

Revenue was primarily collaboration revenue; no product revenue was reported. Revenue declined 18%, mainly because less revenue was recognized under Servier agreements and collaboration research activity changed. R&D expense rose 51%, reflecting clinical manufacturing, preparation for a planned margetuximab Phase 3 trial, and expansion of clinical programs. G&A expense increased 44%, in part due to stock compensation and public-company costs. Operating margin was negative; margins based on product sales are not applicable at this development stage.

Fourth-quarter 2014 revenue was $5.5 million and net loss was $19.0 million, or $(0.68) per share, compared with revenue of $14.9 million and net loss of $3.2 million, or $(0.14) per share, in fourth-quarter 2013.

At year-end, cash and cash equivalents were $157.6 million, current assets $164.7 million, total assets $173.9 million, and current liabilities $27.1 million. Total liabilities were $52.6 million, including deferred revenue and lease-related liabilities; the balance sheet reports no borrowing debt. Deferred revenue totaled $30.7 million. Accumulated deficit was $214.0 million. Operating lease payments totaled $19.2 million; an additional $8.0 million lease-exit liability was recorded.

Management estimated that year-end cash, collaboration proceeds and anticipated collaboration payments would fund operations into 2018, assuming programs progress as planned. The Janssen agreement and related stock investment closed in January 2015, after year-end: MacroGenics received a $50 million upfront collaboration payment and $75 million from issuance of shares to Janssen affiliate JJDC. These proceeds are not included in 2014 year-end cash.

Material changes and business developments

  • MacroGenics entered a Janssen collaboration for MGD011, with up to $575 million in potential development, regulatory and commercialization milestones, double-digit global sales royalties, and options for U.S./Canada co-promotion and profit sharing. Payments and equity proceeds closed in January 2015.
  • Takeda paid $15 million upfront for MGD010 and holds an option to license it after a Phase 1a study; the company also entered a separate Takeda research collaboration.
  • Servier exercised its option for MGD006. MacroGenics reported $15 million in license-option consideration and two $5 million IND-related milestone payments during 2014. The company extended estimated revenue-recognition periods for Servier agreements, reducing 2014 revenue recognized under the DART agreement by $3.7 million.
  • Research and development spending increased substantially as margetuximab and MGA271 advanced and clinical work and manufacturing preparations expanded.

Outlook, risks and unusual items

  • For 2015, management planned to start a potential registration Phase 3 trial of margetuximab in HER2-positive metastatic breast cancer; initiate additional combination studies for margetuximab and MGA271; begin clinical studies for MGD011 and MGD010; and file an IND for MGD009 with a Phase 1 study targeted by year-end. These are plans, not assured outcomes.
  • All product candidates remained in preclinical or clinical development. Clinical efficacy and safety, regulatory approval, manufacturing scale-up, commercialization and reimbursement are uncertain; the company could continue to incur losses and require additional financing.
  • Collaboration revenue is concentrated: Servier represented 36.4% of 2014 revenue and Boehringer 28.6%; Takeda and Gilead contributed 16.8% and 11.4%, respectively. Collaborator decisions, program delays or termination could affect funding and development.
  • Competition, intellectual-property disputes and third-party patent rights pose material risks. The filing specifically notes third-party Fc-engineering patents that could affect margetuximab or MGA271 if the company cannot invalidate them or obtain suitable licenses.
  • Potential contingent obligations include payments tied to Tolerance and Raven assets, including a $5 million payment upon initiation of a qualifying Phase 2 trial from the Raven cancer stem-cell program and further sales-based payments. Timing and amounts are contingent and were not included in contractual lease commitments.
  • The company reported no material legal proceedings, no off-balance-sheet arrangements, effective disclosure controls and effective management-assessed internal control over financial reporting. The auditor expressed an unqualified opinion on the financial statements but did not opine on internal-control effectiveness.

Key facts for investors to verify

  • Whether the planned 2015 trials and IND filings occurred on schedule, and what subsequent clinical results show.
  • Cash burn, collaboration receipts and milestone timing against management’s runway estimate through 2018; separately track post-year-end Janssen and JJDC proceeds.
  • Servier option status, deferred-revenue recognition periods and the degree of revenue concentration among collaborators.
  • Potential intellectual-property exposure relating to Fc engineering and any resulting licensing, litigation or development consequences.
  • Contingent Raven and Tolerance payments, lease obligations and future equity dilution, including outstanding options.
