Cash flow from investing was positive RMB1.716bn, mainly reflecting deposit maturities; financing cash flow was negative RMB3.433bn, including note repurchases, dividends and share repurchases. Cash, cash equivalents and restricted cash decreased RMB448m during the year.
At year-end, current assets were RMB11.725bn and current liabilities RMB4.738bn. In addition to cash, the company reported RMB5.300bn short-term deposits, RMB2.600bn long-term deposits, RMB300m short-term investments and RMB97.7m restricted cash. Management said available cash and anticipated operating cash flow were expected to cover working capital and capital expenditure needs for the next 12 months.
Material changes versus prior periods
- Revenue fell for a second consecutive year: RMB15.024bn in 2020, RMB14.576bn in 2021 and RMB12.704bn in 2022. Management attributed the 2022 decline mainly to COVID-related demand and consumption weakness, regulatory-driven product adjustments, and lower Tantan marketing investment and monetization.
- Live video revenue fell 22.3% to RMB6.510bn, while its share of revenue declined from 57.5% to 51.2%. Value-added service revenue was broadly flat, up 0.6% to RMB6.007bn, and rose to 47.3% of revenue; growth from newer standalone apps partly offset declines at Tantan and Momo core.
- Momo monthly active users declined to 94.6m in December 2022 from 114.1m a year earlier; Tantan MAUs fell to 18.4m from 27.0m. The filing cites pandemic effects, social restrictions and reduced marketing investment.
- Operating expenses fell 35.3%, largely because FY2021 included the RMB4.397bn impairment charge. Excluding that unusual item, operating income still declined from RMB2.007bn in 2021 before impairment to RMB1.628bn in 2022.
- The company repurchased US$338m principal amount of convertible notes in 2022 for US$320m including accrued interest, recording a RMB129.6m gain. It also paid RMB841.0m in dividends and repurchased ordinary shares for RMB395.8m.
Outlook, commentary and risks
- No specific revenue, earnings or margin guidance is provided. Management plans continued investment in product development, user experience, marketing, technology infrastructure and potential strategic investments, while emphasizing cost control and monetization.
- The remaining 1.25% convertible notes had a carrying value of RMB2.646bn at year-end. Noteholders could require cash repurchase on July 1, 2023; the filing lists RMB2.669bn of principal and estimated interest obligations, with most principal due in 2025 if the put is not exercised.
- A RMB92.9m loss contingency was recorded for an ongoing investigation into alleged illegal activity concerning the source of funds spent on Momo’s platform; the same amount of bank funds was restricted. The company stated it was not suspected of or alleged to have committed wrongdoing, but considered an unfavorable outcome probable and estimable.
- Key structural risk: investors own shares in the Cayman holding company, not the VIEs. Contractual control arrangements are not equivalent to direct ownership, have limited judicial precedent, and could be challenged by authorities or prove difficult to enforce. The VIEs hold key licenses and generated most revenue.
- Other major risks include evolving Chinese rules on data privacy, cybersecurity, content, live streaming and virtual gifts; licensing and overseas-listing filing requirements; limits on moving funds out of China; user retention and monetization; competition; and currency movements. The PCAOB removed China and Hong Kong from its restricted-inspection determination in December 2022, but future inspection access and potential HFCAA trading restrictions remain risks.
- The company said it believed it was a PFIC for U.S. tax purposes in 2022, potentially creating adverse tax consequences for U.S. investors. Management and the auditor concluded internal control over financial reporting was effective at year-end; the financial statement audit opinion was unqualified.
- After year-end, the company declared a special dividend of US$0.72 per ADS (US$0.36 per ordinary share), approximately US$137m in total, scheduled for May 2023. A US$200m repurchase authorization remained in effect; approximately US$57.2m had been repurchased under it through the filing date.
Most important facts for investors to verify
- Whether user declines stabilize and newer value-added products can offset continuing weakness in live video and Tantan.
- Whether operating cash flow remains sufficient after dividends, repurchases and the July 2023 noteholder put date; confirm the current outstanding note principal and any repurchase or refinancing outcome.
- Progress, final exposure and any further restrictions arising from the RMB92.9m investigation-related contingency and restricted funds.
- Whether VIE contractual arrangements, operating licenses, data practices and any applicable CSRC or cybersecurity filings remain compliant and enforceable.
- Current cash and deposits by location and currency, and the practical availability of China-held funds for offshore dividends and debt service.
- The continuing PFIC classification and its tax implications for individual U.S. holders.
