Revenue and operating trends

  • Direct revenue rose 9% to $845.3 million; indirect revenue, principally advertising, increased 13% to $14.3 million.
  • By brand, Hinge direct revenue grew 50% to $123.8 million, Tinder grew 9% to $481.5 million, Match Group Asia declined 6% to $71.5 million, and Evergreen & Emerging declined 4% to $168.6 million.
  • Total payers fell 6% to 14.93 million, while revenue per payer increased 16% to $18.87. Management attributed growth to higher subscription prices and weekly subscription offerings; pricing initiatives also contributed to fewer payers, particularly in the Americas.
  • Cost of revenue increased 7%, with in-app purchase fees up $19.8 million. Selling and marketing rose 20%, product development rose 18%, and general and administrative expense rose 17%. Depreciation nearly doubled, mainly due to internally developed software placed in service.
  • Stock-based compensation expense increased to $63.8 million from $41.6 million. Adjusted Operating Income excludes stock compensation, depreciation and amortization; it is a non-GAAP measure and should be considered alongside GAAP results.

Cash, debt and capital allocation

  • Cash and cash equivalents were $914.9 million and short-term investments were $5.9 million at quarter-end, compared with cash of $862.4 million and investments of $6.2 million at year-end.
  • Total debt principal was $3.875 billion; debt, net of discounts and issuance costs, was $3.844 billion. The filing reports no revolver borrowings and $499.6 million of availability following an amendment that reduced facility capacity from $750 million to $500 million and extended its maturity. The $425 million term loan carried a 7.23% rate.
  • Operating cash flow was $284.1 million; investing cash outflow was $26.0 million, including $17.2 million of capital expenditures; financing cash outflow was $199.6 million, principally share repurchases.
  • The company repurchased 5.6 million shares for approximately $197.6 million on a trade-date basis during the quarter. A January 2024 program authorized up to $1.0 billion; approximately $800 million remained available as of May 3.
  • Management expects 2024 cash capital expenditures of $55 million to $65 million and stated it believes operating cash flows will be sufficient for future obligations. Purchase commitments were $73.1 million for the remainder of 2024, $85.0 million for 2025 and $14.2 million for 2026.

Material developments, risks and contingencies

  • Foreign currency movements affected reported growth: revenue excluding foreign-exchange effects, a non-GAAP measure, increased 12% versus reported growth of 9%. The U.S. dollar’s strength particularly weighed on reported Match Group Asia revenue.
  • The Irish Data Protection Commission issued a preliminary draft decision alleging certain Tinder access and data-retention policies violate GDPR requirements. Match Group estimates a reasonably possible loss ranging from nominal to $60 million, but recorded no provision and says it will defend the matter.
  • In April 2024, the Delaware Supreme Court reversed and remanded part of the dismissal in litigation concerning Match Group’s separation from IAC; dismissal of derivative claims was affirmed. The company says it will defend the remaining claims.
  • Other disclosed matters include the FTC lawsuit concerning Match.com practices, an FTC investigation involving OkCupid-related data privacy representations, consumer and securities litigation, and a new class action alleging dating apps are designed to be addictive. The company disputes the claims and generally reports no provision where it does not consider loss probable.
  • Management identifies risks including user-base growth and retention, competition, marketing efficiency, third-party distribution fees, foreign exchange, cybersecurity and privacy, AI-related risks, acquisitions, macroeconomic conditions and litigation. Management reported effective disclosure controls and no material change in internal control over financial reporting during the quarter.

Most important facts for investors to verify

  • Whether revenue growth, particularly Hinge’s growth, can continue while total payers are declining and pricing changes affect user numbers.
  • Whether higher marketing, in-app purchase fees, compensation and depreciation costs continue to pressure GAAP operating margins.
  • Cash-flow sustainability: Q1 operating cash flow benefited from a $71.7 million decrease in accounts receivable and other working-capital timing effects.
  • Debt-service capacity, the 2027–2031 maturity schedule, credit-agreement covenants and remaining revolver availability.
  • Progress and potential financial exposure in the GDPR inquiry and other litigation, including the matters for which no loss provision has been recorded.
  • Execution of the remaining share-repurchase authorization alongside planned capital spending and other cash obligations.
