  • Revenue drivers: Q3 direct revenue rose 9% to $866.8 million. Tinder direct revenue grew 11% and Hinge 44%; Match Group Asia declined 5% and Evergreen & Emerging declined 3%. Total payers fell 5% to 15.7 million, while revenue per payer rose 15% to $18.39.
  • Cash flow: Nine-month operating cash flow was $620.7 million, versus $300.5 million a year earlier. Investing used $47.6 million, including $50.0 million of capital expenditures; financing used $436.5 million, principally reflecting $445.1 million of share repurchases. Cash and cash equivalents at September 30 were $706.9 million.
  • Debt and liquidity: Gross debt was $3.875 billion ($3.841 billion net carrying value); cash and short-term investments totaled $712.8 million. The revolving facility had $749.6 million available and no borrowings. The $425 million term loan carried a 7.30% rate. Shareholders’ equity was negative $299.0 million.

Changes versus prior comparable periods

  • Q3 revenue growth reflected higher revenue per payer despite fewer payers. Americas and Europe direct revenue increased 10% and 17%, respectively; APAC and Other declined 4% as reported, partly due to currency effects.
  • Operating income increased 16% in Q3. For the nine months, the 61% increase was substantially affected by the prior-year impairment of Hyperconnect intangible assets; Adjusted Operating Income increased a more modest 6%.
  • Nine-month income tax provision increased to $130.1 million from $33.0 million; the effective tax rate rose to 24% from 11%, partly because 2022 benefited from excess tax benefits on stock-based awards.
  • Interest expense increased 10% in Q3 and 11% year to date, primarily due to the higher Term Loan interest rate. Nine-month operating cash flow improved, although accounts receivable growth used $100.1 million of cash, primarily reflecting the timing of receipts.

Outlook, commentary, risks and unusual items

  • Management expected 2023 cash capital expenditures of $65–70 million and estimated cash income taxes paid would increase by $60–70 million versus 2022. The filing provides no specific revenue or earnings guidance.
  • Management stated it believes operating cash flows will be sufficient to meet future obligations. It also cautioned that debt may constrain financing and investment flexibility and that additional financing may not be available on favorable terms or at all.
  • Google settlement: The parties dismissed their claims with prejudice after a settlement. Match expects return of the $40 million escrow, with no other amounts owed to Google for claims through December 31, 2023. By March 31, 2024, its apps are to implement Google User Choice Billing, with transaction fees specified in the settlement. A new partnership agreement is expected to essentially offset the additional costs over the three years beginning in 2024; this is an expectation, not a guarantee.
  • Match repurchased 10.3 million shares for $445.1 million in the first nine months. As of October 31, $667.4 million remained available under the $1.0 billion repurchase authorization.
  • Legal matters include the FTC case concerning Match.com practices, a Tinder age-tiered pricing class action, a data-protection inquiry, an FTC investigation, and a securities class action. Management says it will defend the matters vigorously; outcomes remain uncertain. The filing notes that an adverse outcome in one or more contingencies could materially affect the company.
  • Risks highlighted include competition and user retention, marketing efficiency, foreign exchange, third-party app distribution and payment fees, cybersecurity and user-data protection, artificial intelligence, international operations and acquisitions, and macroeconomic conditions. Management reported effective disclosure controls.

Most important facts for investors to verify

  • Whether higher pricing and revenue per payer can sustain growth while payer counts decline, particularly at Tinder and in legacy brands.
  • Whether Hinge’s rapid growth continues and whether weakness in Match Group Asia and Evergreen & Emerging stabilizes.
  • Actual 2023 capital expenditure and cash-tax outcomes versus management’s estimates, and conversion of operating earnings into cash given receivables growth.
  • Debt-service exposure to elevated variable rates, the availability of the revolving facility, and the effect of the Google billing terms and expected partnership offset.
  • Developments and potential financial effects of the disclosed legal matters, tax uncertainties, and foreign-exchange risks.
