Cash flow, debt and liquidity

FY2021 continuing operating cash flow was $912.5 million. Investing cash use was $939.8 million, primarily the $859.9 million cash cost of acquiring Hyperconnect, net of cash acquired, and $80.0 million of capital expenditures. Financing cash provided was $111.1 million, reflecting, among other items, proceeds from new notes and settlement of note hedges, offset by payments related to exchangeable notes and warrants.

At year-end, the company had $749.6 million available under its $750 million revolving credit facility and no revolver borrowings. Debt included $425 million under a variable-rate term loan and fixed-rate senior and exchangeable notes. The company said it believed operating cash flows would be sufficient for future obligations. It expected 2022 cash capital expenditures of $65–$75 million and had a $441 million settlement payable in 2022, expected to be funded from cash on hand.

Material changes, outlook and commentary

  • Hyperconnect was acquired for accounting consideration of $1.75 billion, funded with cash and 5.9 million Match Group shares. The preliminary allocation included $1.2 billion of goodwill and $612 million of identifiable intangible assets. The acquisition expanded the company’s Asian presence and video capabilities.
  • Revenue grew faster than operating income and Adjusted Operating Income. Management cited increased app-store fees, Hyperconnect expenses, higher legal and professional fees, increased headcount and product-development costs; lower selling and marketing expense as a share of revenue partly offset these pressures.
  • FY2021 cost of revenue included $552.6 million of amortized app-store fees. Apple and Google generally charged 30% on in-app transactions; Google reduced its subscription fee to 15% beginning January 1, 2022. Google had announced a requirement to process in-app purchases through its system beginning March 31, 2022, which the company identified as a risk.
  • Management described the business as resilient through COVID-19, while noting uneven recovery by country and a modest impact from the Omicron wave. The filing provides no specific revenue or earnings guidance for FY2022; the stated outlook includes the capital-expenditure range above.
  • The $441 million Tinder employee litigation settlement was recorded in FY2021 other expense and was expected to be paid in 2022. Other material legal matters included an FTC lawsuit concerning Match.com marketing and subscription practices, shareholder litigation, and an Irish data-protection inquiry concerning Tinder.
  • Other principal risks include competition and low user switching costs; dependence on Apple and Google for app distribution, payments and user data; privacy, safety and platform-liability regulation; cybersecurity and third-party service disruptions; foreign-exchange exposure; and the company’s substantial debt and exchangeable-note dilution risk.
