  • Q2 net income fell 35%; first-half net income fell 20%. Management attributed the declines principally to lower gains on loans held for sale and higher expenses, partly offset by higher net interest income.
  • Gain on loans held for sale was $5.0 million in Q2 and $8.8 million for the first half, down from $7.4 million and $12.4 million, respectively, in 2013, amid lower mortgage production. Insurance income increased to $0.7 million in Q2 and $1.7 million for the first half.
  • Noninterest expense rose about 11% in Q2 and 13% in the first half. Staffing, branch and office expansion, data processing, and occupancy costs contributed. The efficiency ratio increased to 85.46% in Q2 from 80.63%.

Financial condition, cash flow, and credit

  • At June 30, assets were $1.063 billion, up $75.6 million from year-end 2013. Gross loans were $734.3 million, up $112.0 million; deposits were $747.0 million, up $51.2 million.
  • Cash and cash equivalents were $28.1 million, down from $39.8 million at December 31. First-half operating cash flow was $23.5 million; investing cash use was $105.2 million and financing cash provided was $70.0 million. Cash declined $11.7 million overall.
  • Funding included $36.5 million of repurchase agreements, $125.8 million of FHLB and other borrowings, and $33.4 million of subordinated debt. The latter increased from $4.1 million at year-end after issuance of $29.4 million of 10-year convertible subordinated notes on June 30. The notes bear stated interest generally between 7% and 7.5%, subject to terms and investor holdings.
  • Book equity was $110.4 million. Reported Tier 1, risk-based capital, and leverage ratios were 15.20%, 16.01%, and 11.25%, respectively; management said Company and Bank ratios exceeded minimum well-capitalized standards.
  • The allowance for loan losses was $6.2 million, or 0.85% of loans, versus 1.02% a year earlier. Nonperforming loans were 0.35% of loans versus 0.24% in June 2013; first-half charge-offs were $0.111 million versus $0.985 million. Management noted that the lower allowance ratio partly reflected commercial loans purchased in late 2013 and marked to fair value.
  • Management stated that liquidity needs were met by cash, available funding sources, and maturing investments and loans. The Bank reported access to more than $162.6 million in additional FHLB advances. Total loan commitments were $139.3 million, up from $92.3 million at year-end.

Outlook, material developments, and risks

  • No specific earnings or financial guidance was provided. Management’s stated focus was attracting core deposits to fund growth while maintaining margin, customer service, and product quality. It cited competition for quality loans, a low-rate environment, and the need to manage expense growth.
  • MVB had agreed to acquire certain CFG Community Bank assets and assume certain liabilities for $30 million, comprising $26 million cash and $4 million in MVB common stock, subject to regulatory approvals and other closing conditions. The transaction was expected to add three branches and another office in Maryland; it had not closed by the filing date. Capital raised through common stock, preferred stock, and subordinated notes was intended partly to support this transaction and continued growth.
  • The Bank froze pension-plan accruals effective May 31, 2014. Management estimated the freeze would reduce pension costs by approximately $0.43 million in the second half of 2014.
  • Investment securities had $2.618 million of gross unrealized losses at June 30. Management classified the declines as temporary and said it intended and had the ability to hold the affected securities until recovery of principal.
  • Key disclosed risks include credit losses and allowance-estimation uncertainty, interest-rate and funding pressures, mortgage-volume variability, acquisition approval and integration, competition, regulatory changes, and economic conditions. Management reported no material legal proceeding and no material change in market risk since year-end 2013.

Important facts for investors to verify

  • Whether CFG acquisition approvals, consideration, and closing conditions were ultimately satisfied, and the acquired assets, liabilities, and integration costs.
  • Subsequent mortgage production, gain-on-sale income, insurance performance, and whether expense growth improved the efficiency ratio.
  • Loan growth, criticized and past-due credit trends, allowance adequacy, and the impact of acquired commercial-loan fair-value marks.
  • Deposit composition and funding costs, liquidity availability, and the terms, interest burden, and potential dilution of convertible subordinated notes and preferred shares.
  • Actual capital and liquidity outcomes after the acquisition and subsequent regulatory requirements.
