Revenue rose 11.0%; requisitions and tests performed each increased about 20%, to 88,431 and 137,317. Average revenue per test declined 7.3%, to $484. Cost of revenue per test fell 12.2%, to $252.92, contributing to the higher gross margin. Adjusted EBITDA, a company-defined non-GAAP measure, was $8.515 million versus $5.998 million.
In Q4 2013, revenue was $18.323 million, gross profit $9.163 million and net income $0.857 million, compared with $14.894 million, $6.433 million and a net loss of $0.114 million, respectively, in Q4 2012.
At year-end, cash was $4.834 million, working capital $13.168 million, current assets $27.491 million and current liabilities $14.323 million. The revolving credit line had $4.282 million outstanding and approximately $5.7 million available. Capital lease liabilities totaled $6.080 million in present value ($2.786 million current; $3.294 million long-term). Total liabilities were $18.205 million. Operating cash flow improved, but was affected by rising receivables and billing delays.
Material changes versus prior period
- Net income increased from $0.065 million to $2.033 million, and operating cash flow turned positive.
- Revenue growth was volume-led, while average revenue per test continued to fall. Management attributed much of the pricing pressure to expiration of the Medicare technical-component grandfather provision, effective July 2012; the impact on 2013 gross margin and net income versus 2012 was estimated at about $2.6 million.
- Government payer share of revenue fell to 25% from 36% in 2012; client billing rose to 43% from 33%.
- The allowance for doubtful accounts increased to $4.540 million from $3.002 million and reached 19.6% of gross receivables, versus 17.6%. Management cited slower collections, payer denials and billing complexity.
- The company raised $10.0 million gross through a March 2013 stock offering, receiving approximately $9.2 million net proceeds; year-end shares outstanding were 49.1 million, up from 45.3 million.
Outlook, commentary and risks
- Major customer loss: A large oncology practice represented 15.8% of FY 2013 revenue and gave notice that its contract would terminate effective May 14, 2014, stating it planned to internalize a large portion of testing. The filing does not quantify the expected revenue impact.
- Growth and investment: Management expected modestly higher sales and marketing expense and planned to add sales representatives in 2014. It forecast approximately $6–7 million of capital equipment purchases over the next year, funded through cash, leases and credit facilities.
- Products and partnership: The company planned clinical next-generation sequencing capabilities for March 2014 and a limited NeoSCORE prostate-test launch in Q2 2014, subject to further validation. An exclusive Covance clinical-trials laboratory alliance was announced in November 2013; Fort Myers expansion was underway. These are plans, not assured outcomes.
- Billing and collections: A billing-system transition contributed to a Q4 backlog of unbilled claims; management expected the backlog to decline in Q1 2014. Collection risk also reflects hospital billing after the Medicare rule change, molecular/FISH denials and more complex Blue Cross Blue Shield billing.
- Other significant risks: Reimbursement reductions and coverage decisions, proposed FDA oversight of laboratory-developed tests, customer internalization, intense competition, reliance on a major FISH-probe supplier, capacity and staffing needs, and compliance with healthcare regulations. Credit-facility covenants depend in part on collections and operating cash generation.
- Commitments and controls: Contractual obligations included $6.722 million of future capital-lease payments and $2.553 million of operating-lease payments. The auditor gave an unqualified opinion on the financial statements and reported effective internal control over financial reporting at year-end. No material legal proceedings were reported.
Most important facts for investors to verify
- How much revenue and operating profit will be lost after the major customer’s May 2014 termination, and whether new business can replace it.
- Whether the unbilled-claims backlog cleared as expected and whether receivables, collections and the allowance for doubtful accounts improved.
- Whether reimbursement and payer-denial trends continue to reduce average revenue per test and constrain margins.
- Whether the planned $6–7 million capital program, Covance expansion and new-test launches can be financed and delivered without weakening liquidity.
- Current compliance with credit-facility covenants and the availability, terms and repayment requirements of the revolving facility and capital leases.
