At June 30, 2021, cash and cash equivalents were $74.2 million and restricted cash was $0.1 million, versus $25.4 million and $0.1 million, respectively, at year-end 2020. Total assets were $105.3 million; current liabilities were $4.4 million. The $60 million upfront seltorexant royalty-sale proceeds are accounted for as a financing liability, which stood at $62.9 million after $2.9 million of non-cash interest expense. The filing reports an estimated effective annual interest rate of about 10.5%. No conventional debt balance is identified. There is no meaningful product gross margin reported because product revenue was zero.
Material changes versus prior period
- The $41.2 million of 2020 collaborative revenue was a one-time recognition following Minerva’s opt-out from its Janssen agreement; there was no comparable 2021 revenue. Accordingly, results shifted from net income to losses.
- Six-month R&D expense fell about $5.0 million, mainly because the core portion of the roluperidone Phase 3 trial had been completed in May 2020. G&A expense declined about $2.4 million, mainly from lower stock-based compensation and severance costs.
- Operating cash use decreased to $11.1 million from $16.8 million. Financing provided $60 million from the royalty sale, driving a $48.9 million net increase in cash and cash equivalents and restricted cash. The 2020 period included $21.5 million of net investing cash inflow and $6.1 million of financing cash inflow.
- Stockholders’ equity declined to $36.2 million from $52.7 million at December 31, 2020, principally reflecting the six-month net loss. Common shares outstanding were 42,721,566 at both dates.
Outlook, commentary, and risks
- Management expects continuing operating losses and negative operating cash flows, and believes cash resources will cover commitments for at least 12 months after issuance of the financial statements. It also says additional capital will be needed for continued operations and later-stage development; financing may not be available on acceptable terms and could dilute shareholders or require spending cuts.
- Management planned to continue FDA discussions and supporting clinical pharmacology, nonclinical, and chemistry, manufacturing and controls work, with an NDA submission targeted for the first half of 2022. Timing and outcome remain uncertain.
- Roluperidone’s 40-week open-label extension included 333 participants, with 202 completing. Reported symptom and function improvements were not placebo-controlled. Importantly, the preceding Phase 3 double-blind study did not meet its primary or key secondary endpoints in the intent-to-treat population. A pivotal bioequivalence study enrolled 48 subjects; top-line results were expected in Q3 2021.
- Minerva sold its potential mid-single-digit seltorexant royalties to Royalty Pharma for $60 million upfront and up to $95 million in contingent milestones. Milestones depend on clinical, regulatory, and commercial events. The royalty liability and related interest expense rely on estimates of future royalties and timing, which may change materially.
- Risks include clinical and regulatory failure, need for additional financing, potential trial delays or operational disruption from COVID-19, and competition. The filing states the pandemic had not materially adversely affected operations to date, but further disruption could affect trials, capital access, and financial condition.
- Two putative securities class actions alleging misleading statements about roluperidone were voluntarily dismissed; the court entered dismissal and closed the case on July 9, 2021. The complaints had sought damages but did not quantify them.
Important facts for investors to verify
- Current regulatory feedback and the feasibility and timing of the targeted roluperidone NDA submission, given the failed Phase 3 primary and key secondary endpoints.
- Results of the bioequivalence study and any further clinical or regulatory requirements.
- Cash runway against planned trial costs, and whether additional financing will be required sooner than management’s stated 12-month coverage period.
- Royalty Pharma milestone conditions, likelihood and timing, and sensitivity of the $62.9 million royalty-sale liability and interest expense to revised royalty forecasts.
- Whether any new litigation or material COVID-19-related clinical or operational disruption arises after the reporting period.
