Second-quarter product revenue rose substantially year over year, and product gross profit turned positive, but the company remained loss-making. Six-month net loss narrowed, helped by $1.46 million of Zimmer collaboration revenue recognized after FDA clearance of the sEEG technology; research and development spending increased by approximately $1.0 million. Product gross profit remained slim relative to sales.

At March 31, cash and cash equivalents were $3.60 million and short-term investments were $995,432, down from $8.16 million and $2.98 million, respectively, at September 30, 2022. Current assets were $6.36 million; current liabilities were $1.55 million. Total liabilities were $1.67 million, including operating lease liabilities; the filing reports no conventional debt balance. Accumulated deficit was $56.1 million. Financing provided $646,248 net cash during the six months, mainly from ATM share sales, versus $12.0 million in the prior-year period, mainly from a public offering.

Material developments, outlook and risks

  • Going concern and financing: Management disclosed substantial doubt about the company’s ability to continue as a going concern. It said liquidity would not fund operations beginning in the fourth calendar quarter of 2023 without additional funds, and that existing cash and investments might not cover operating expenses for at least 12 months from the filing date. The company may need to cut planned expenditures if it cannot raise capital; failure to obtain funding could materially harm operations or force cessation.
  • ATM and dilution: The company may sell up to $14.5 million of shares through its ATM, subject to commissions. Through May 8, 2023, it had issued 1,156,384 shares for $2.1 million gross proceeds and incurred $0.2 million in issuance costs. The filing separately reports 639,900 shares issued in April and May for $1.2 million gross proceeds, before $0.04 million of costs. Common shares outstanding were 17,561,776 as of May 11, 2023.
  • Commercial and development milestones: In May 2023, the company announced the U.S. commercial launch of its Evo sEEG electrode line with exclusive distributor Zimmer Biomet; it reported five preparatory product shipments and initial sales-personnel training. It also reported completing OneRF ablation-system verification/validation and usability testing, with a 510(k) application targeted for the second calendar quarter of 2023. It completed an initial animal implant of spinal-cord-stimulation paddle leads. These are management-reported progress and targets, not assurances of regulatory approval or meaningful sales.
  • Partner and customer concentration: One customer accounted for all product and collaboration revenue, and one contract manufacturer produced all Strip/Grid and sEEG products. Zimmer holds exclusive global distribution rights. Management cautioned that delayed commercialization by Zimmer could materially adversely affect results; meaningful sEEG sales may take time.
  • Fraud loss and controls: A January 2023 business email compromise led to an approximately $94,000 loss, which management described as an exploit loss; recovery was uncertain. The company reported a material weakness in controls over verification of vendor wire payments and concluded disclosure controls were ineffective. It described enhanced payment checks and documentation, but remediation was ongoing.
  • Other risks and contingencies: The company cited capital-market access, inflation, supply-chain and labor constraints, regulatory and commercialization execution, reimbursement, intellectual-property protection, and dependence on third parties. It reported no current legal proceedings expected by management to have a material adverse effect and no recorded loss contingency for ordinary-course claims. Minimum annual WARF royalties are $150,000 from 2022 onward while the license remains in effect.

Most important facts for investors to verify

  • Whether additional capital is raised, on what terms, and how long available cash will support operations.
  • Whether Zimmer Biomet’s sEEG launch converts into sustained shipments, clinical adoption, and revenue.
  • Whether the OneRF 510(k) submission and other development milestones occur as targeted, and whether clearance follows.
  • Whether product sales can grow enough to improve gross margins and offset rising research and development costs.
  • Progress in remediating the payment-control material weakness and any recovery of the fraud-related funds.
  • Future share issuance under the ATM and resulting dilution, as well as the company’s reliance on a single customer and manufacturer.
