NEUROONE MEDICAL TECHNOLOGIES Corp quarterly report, Q1 FY2023

NeuroOne Medical Technologies Corporation — Form 10-Q Summary

Reporting period: Three months ended December 31, 2022 (the first quarter of fiscal 2023). The unaudited results are compared with the three months ended December 31, 2021.

Business context

NeuroOne is an early-stage medical technology company developing thin-film electrodes and related technologies for brain recording, monitoring, stimulation and ablation. It has FDA 510(k) clearance for its Evo cortical technology and received clearance for its Evo sEEG electrode technology in October 2022. Commercial sales remain limited. Zimmer has exclusive global distribution rights for the products covered by the parties’ agreement.

Financial results

MetricQ1 FY2023Q1 FY2022
Product revenue$114,579$33,748
Product gross loss($12,307)($13,096)
Collaboration revenue$1,455,188$6,374
Operating expenses$3,227,233$2,802,603
Operating loss($1,784,352)($2,809,325)
Net loss($1,732,769)($2,807,475)
Net loss per share, basic and diluted($0.11)($0.18)
Cash used in operating activities($3,492,253)($2,679,136)

Product revenue increased, but product sales still generated a gross loss. Collaboration revenue was recognized under the Zimmer agreement after FDA clearance satisfied an sEEG exclusivity-maintenance obligation; it is not evidence of recurring product sales. R&D expense rose about $503,000 to $1.56 million, mainly for depth-electrode development. SG&A decreased about $78,000 to $1.66 million, primarily reflecting lower legal and professional costs.

Financial position and liquidity

  • At December 31, 2022, cash and cash equivalents were $4.67 million and short-term investments were $2.98 million, totaling approximately $7.64 million, down from approximately $11.14 million at September 30, 2022.
  • Total assets were $9.66 million; current assets were $8.97 million and current liabilities were $1.33 million. Total liabilities were $1.49 million. The balance sheet reports operating lease liabilities, but no borrowings or other debt balance.
  • Accumulated deficit was $52.56 million. The company reported negative operating cash flow and stated that available resources may not fund operations for at least twelve months from the filing date. Management disclosed substantial doubt about the company’s ability to continue as a going concern.
  • The company established an at-the-market offering program permitting up to $14.5 million of share sales, with commissions of up to 3%. No shares had been sold under it as of December 31, 2022.

Changes, outlook and risks

  • Net loss improved by approximately $1.07 million year over year, principally because of the $1.45 million of Zimmer collaboration revenue recognized in the quarter. Operating expenses increased by approximately $425,000.
  • Management expects significant R&D and SG&A spending and operating losses to continue while the company develops and commercializes its products. No quantified revenue, earnings or cash-flow guidance is provided.
  • The filing described plans for further animal studies through calendar Q1 2023, design verification of ablation-system hardware targeted for Q1 2023, and an FDA 510(k) submission targeted for Q2 2023. These are stated plans, not guarantees of completion or approval.
  • Zimmer is the company’s sole customer for product and collaboration revenue, and one contract manufacturer produces all Strip/Grid and sEEG products. Delays or failure in commercialization, manufacturing or customer performance could materially affect results. Zimmer may terminate the agreement for any reason with 90 days’ notice.
  • In January 2023, the company identified business email compromise fraud involving fraudulent wire-transfer demands, with an approximately $0.1 million loss. Recovery was uncertain. Management reported a material weakness in payment-verification controls and said it had added verification and documentation procedures; remediation was ongoing.
  • Other disclosed risks include the need for additional financing, uncertain market access and capital costs, regulatory and commercialization uncertainty, supply-chain and inflation pressures, and the possibility that planned expenditures may need to be reduced if financing or operating results fall short.
  • The company recorded no loss contingency for ordinary-course claims and stated it was not party to legal proceedings management believed likely to have a material adverse effect.

Most important facts for investors to verify

  • Current cash, investment balances, cash burn and financing availability, including any subsequent ATM sales and the company’s updated going-concern assessment.
  • Whether sEEG and other products are generating sustained commercial sales, and whether revenue remains concentrated in Zimmer and milestone recognition.
  • Progress on the disclosed development, animal-study, design-verification and regulatory-submission timelines.
  • Whether payment-control remediation is complete, whether any fraud loss was recovered, and whether further incidents or control deficiencies occurred.
  • Zimmer’s commercialization and distribution performance, manufacturing continuity, and the company’s ability to fund development and meet royalty and lease obligations.
