Revenue growth was mainly attributed to existing markets. Gross profit and margin declined; management cited $85,000 of additional training costs for new hires preparing for anticipated volume needs. Operating expenses rose substantially, with higher compensation and share-based compensation among the principal factors. Research and development also included costs for an early feasibility study of CGuard Prime for acute stroke patients with tandem lesions.

Cash and cash equivalents were $9.389 million and marketable securities were $24.561 million at March 31, 2024, for combined cash and securities of approximately $33.950 million. Working capital was $33.634 million, and current assets were 7.9 times current liabilities. Cash declined $251,000 during the quarter; investing activities provided $4.817 million, primarily reflecting net maturities of marketable securities. The company reported no cash from financing activities and no material interest-bearing debt; liabilities included lease obligations.

Business developments, outlook and risks

  • The company said it could fund planned operations for at least 12 months from the financial statements’ issuance date, but expects continued losses and negative operating cash flow until commercial profitability. It may need additional capital; financing is not assured and could dilute shareholders.
  • Management anticipated C-GUARDIANS primary endpoint results at the end of May 2024, potentially supporting a PMA submission in Q3 2024 and possible FDA approval of CGuard Prime in the first half of 2025. These are forward-looking expectations, not reported outcomes.
  • The C-GUARDIANS trial completed enrollment in June 2023. The company reported a 0.95% 30-day DSMI rate in November 2023; the primary endpoint includes events through one year after the procedure.
  • In January 2024, CGuard EPS received CE mark recertification under the EU Medical Device Regulation. The company was seeking strategic partners for potential launches in Japan and other Asian countries, and is developing SwitchGuard NPS for transcarotid procedures.
  • The Israel war had an immaterial effect on Q1 results, and operations were described as largely unaffected at the reporting date. However, the company’s executive office, sole manufacturing facility and some personnel are in Israel; escalation, employee call-ups, supply-chain disruption or shipping interruptions could materially affect operations. Insurance does not cover war- and terrorism-related losses.
  • Other stated risks include regulatory and clinical-trial outcomes, market acceptance, reimbursement, competition, reliance on distributors and a single manufacturing facility, foreign exchange, and the possibility of needing additional capital. No material legal proceedings were pending, and management said disclosure controls were effective.

Investor facts to verify

  • The scale of potential dilution: 53.4 million warrants and 15.3 million pre-funded warrants were outstanding at March 31, 2024; warrant exercises and proceeds are not assured.
  • The filing reports 23.4 million common shares outstanding at March 31 and 24.9 million at May 13, 2024. Review subsequent share issuance and equity compensation; Q1 share-based compensation expense was $2.618 million.
  • Whether gross-margin pressure, commercialization progress and Israel-related manufacturing or supply risks have changed since quarter-end.
