Q1 revenue primarily reflected government and grant funding for vaccine development—not reported vaccine product sales.

Revenue increased by $443.9 million, mainly from OWS and CEPI-supported development activity. NVX-CoV2373 direct external R&D expense was $538.1 million. The net loss widened as development spending and employee-related costs, including stock-based compensation, rose substantially. Gross margin is not provided; product sales were not the principal source of reported revenue.
Operating cash generation was driven largely by advance purchase agreement payments recorded as deferred revenue and by payment timing; it should not be read as recurring operating profitability. Deferred revenue was $822.8 million, including approximately $772 million of APA advances. The company reported $5.0 billion of transaction price allocated to unsatisfied or partially unsatisfied performance obligations, expected to be fulfilled within 12 months.
At March 31, 2021, total liabilities were $1.569 billion. Convertible notes had $325 million principal and $322.4 million carrying value, and mature February 1, 2023. Current and non-current finance lease liabilities totaled $137.8 million. Cash, cash equivalents and restricted cash were approximately $2.029 billion; marketable securities were an additional $2.3 million. Cash and cash equivalents alone were $1.995 billion.
Material changes and financing
- Common stock issuance generated $564.9 million net proceeds in Q1 2021, compared with $185.9 million in Q1 2020. The company sold shares under at-the-market programs, increasing weighted-average shares outstanding to 73.0 million from 44.4 million.
- Stock-based compensation expense rose to $53.1 million from $4.0 million. The filing reported approximately $276 million of unrecognized compensation expense, expected to be recognized over a weighted-average 1.1 years.
- Investing activities provided $141.6 million, principally reflecting maturities and sales of marketable securities, net of purchases. Capital expenditures were $13.8 million versus $0.1 million a year earlier.
- Other expense included a $5.9 million foreign-exchange loss on an intercompany loan with Novavax CZ. Income tax expense was $3.0 million, related to foreign withholding tax on an advance license-fee payment.
- The company recognized $127.6 million of short-term embedded lease expense in Q1 2021 related to contract manufacturing arrangements; no such expense was incurred in Q1 2020.
Outlook, developments and risks
- Management expected 2021 revenue and R&D and G&A expenses to increase significantly versus 2020, primarily due to NVX-CoV2373 funding, development and anticipated commercialization. Product sales, if authorized, could also result in significant cost of goods sold. The filing gives no specific full-year revenue or earnings guidance.
- As of the filing, management expected global manufacturing capacity of approximately 100 million doses per month by the end of Q3 2021 and approximately 150 million doses per month in Q4, including about one billion annualized doses from SIIPL. Raw-material shortages had affected the timing of anticipated capacity; supply availability, analytical testing and manufacturing efficiency remained dependencies.
- Management aimed to complete multiple regulatory filings, including FDA EUA and submissions to other regulators, in Q3 2021. These were targets, not approvals. Regulatory authorization and completion of manufacturing, chemistry, and controls requirements remained necessary for delivery.
- Reported Phase 3 UK trial efficacy was 89.7% overall, 96.4% against the original strain and 86.3% against the B.1.1.7 variant. The South Africa Phase 2b analysis reported 48.6% overall efficacy, predominantly against B.1.351, and 55.4% among HIV-negative participants. These trial results do not establish regulatory approval or commercial outcomes.
- After quarter-end, Novavax finalized a Gavi APA covering 350 million company-supplied doses as part of a jointly committed 1.1 billion doses for COVAX with SIIPL. Delivery was expected to begin in Q3 2021, subject to regulatory authorizations. The company expected significant upfront payments, subject to contractual conditions.
- After quarter-end, the OWS agreement was amended to fund up to $1.75 billion for specified development, manufacturing and delivery activities, including 100 million doses for the U.S. government. The company also described supply commitments and partner arrangements, including Canada, Korea and Japan; these depend on approvals, manufacturing and contractual terms.
- Key risks include clinical and regulatory uncertainty, manufacturing scale-up and raw-material constraints, delivery and partner execution, dependence on government and grant funding, and uncertainty over future demand and revenue. The filing reported no material change to the risk factors in the 2020 Form 10-K.
- A stockholder derivative suit challenges certain 2020 equity awards as allegedly “spring-loaded,” asserting fiduciary-duty, waste and unjust-enrichment claims. Defendants intended to seek dismissal; the financial impact was not estimable. The company reported no material off-balance-sheet arrangements.
