Olema Pharmaceuticals, Inc. — Q2 2023 Form 10-Q
Reporting period: Quarter and six months ended June 30, 2023. Unaudited results; amounts below are in millions unless otherwise stated.
Business context and reporting period
Olema is a clinical-stage biopharmaceutical company developing therapies for women’s cancers, with its efforts focused on breast cancer. Its lead candidate, palazestrant (OP-1250), is being studied as a monotherapy and in combinations for ER-positive/HER2-negative breast cancer. Olema had no approved products and generated no product revenue.
Following a March 2023 restructuring and portfolio prioritization, the company focused resources on palazestrant’s later-stage development. It expected to begin the OPERA-01 Phase 3 monotherapy trial in Q4 2023.

- Cash flow: Six-month operating cash use was $42.5, versus $44.4 in the prior-year period. Investing activities provided $51.5, primarily reflecting net marketable-security maturities; financing activities provided $2.3, mainly from option exercises and the employee stock purchase plan. Cash and cash equivalents rose $11.3 to $35.0.
- Liquidity: Cash, cash equivalents and marketable securities totaled $167.4 at June 30, 2023, compared with $204.4 at December 31, 2022. Management said the June balance was expected to fund planned operating and capital needs into Q2 2025. It anticipated year-end 2023 cash, cash equivalents and marketable securities of $120–$125.
- Debt and obligations: No debt was outstanding. Total liabilities were $16.0, including $2.0 of operating lease liabilities. Accumulated deficit was $257.4.
- Margins: Not meaningful because the company had no product revenue.
Material changes versus the prior comparable period
- Q2 net loss narrowed by $12.8 year over year; first-half net loss narrowed by $7.5.
- Q2 R&D expense fell $9.1, primarily because prior-year spending included an $8.0 Aurigene upfront license payment, and because of lower preclinical, clinical-pharmacology and personnel costs. Increased clinical-operations spending partly offset the decreases.
- Q2 G&A expense fell $2.6, mainly due to lower corporate, legal and personnel costs following the restructuring.
- Interest income increased to $1.6 in Q2 and $2.9 for the first half, compared with $0.4 and $0.6, respectively, in 2022.
- Cash, cash equivalents and marketable securities declined $37.0 from year-end 2022. Outstanding common shares increased from 40.3 million at December 31, 2022 to 41.1 million at June 30, 2023.
Outlook, risks and unusual items
- Management expected significant operating losses to continue and expenses to increase as palazestrant advances, including toward Phase 3. The company said it would need substantial additional funding; future financing could dilute stockholders, restrict operations or require licensing rights on unfavorable terms.
- The risk-factor discussion states that continuing losses and negative operating cash flows raise substantial doubt about the company’s ability to continue as a going concern over the long term. Management nevertheless said existing liquidity was expected to fund planned needs into Q2 2025; the runway estimate depends on assumptions and could prove shorter.
- The March restructuring reduced the workforce by approximately 25%. Olema reported approximately $2.8 of one-time accounting charges, about $2.7 of which was attributable to cash expenditures, and warned anticipated benefits may not be achieved.
- Clinical development, regulatory approval and commercial success remain uncertain. Key risks include trial results and enrollment, reliance on third-party manufacturers and CROs, competition, intellectual-property challenges, and macroeconomic or geopolitical disruption. Fast Track designation does not guarantee faster review or approval.
- The company reported no material pending litigation and no material contractual commitments with vendors, CROs or CMOs as of June 30, 2023. Under its Aurigene license, potential milestones include up to $60.0 in clinical-development and regulatory payments and up to $370.0 in commercial payments, plus royalties; no milestone expense was recorded for the first half of 2023 because achievement was not considered probable.
- Management concluded disclosure controls and procedures were effective at a reasonable assurance level as of June 30, 2023; no material change in internal control over financial reporting was reported for the quarter.
Important facts for investors to verify

- The realized costs and operational effects of the restructuring, including whether lower expenses compromise development capacity.
- Potential dilution or rights granted in future financing, collaboration, licensing or milestone arrangements.
