Olema Pharmaceuticals, Inc. — 2023 Form 10-K
Business context and reporting period. This annual report covers the fiscal year ended December 31, 2023; it is not a standalone fourth-quarter report. Olema is a clinical-stage biopharmaceutical company developing targeted therapies for women’s cancers. It has no approved products and has not generated product-sales revenue. Its lead candidate, palazestrant (OP-1250), is in clinical development for ER-positive/HER2-negative breast cancer; OP-3136, a KAT6 inhibitor, was nominated as a development candidate in January 2024.

At year-end, cash and cash equivalents were $68.5 million and marketable securities were $193.3 million, totaling approximately $261.8 million. Current assets were $266.5 million and current liabilities were $21.6 million. Olema reported no debt outstanding. The company had a $50 million secured credit facility, of which $25 million was available after the private placement; the remaining $25 million was subject to bank approval. A 100-basis-point interest-rate change was not expected to materially affect the fair value of cash, cash equivalents, and marketable securities. Profit margins are not applicable given the absence of product revenue.
Material changes versus 2022
- Net loss narrowed by $8.1 million, primarily as interest income increased by $6.1 million and general and administrative expense declined by $5.9 million.
- Research and development expense rose by $3.9 million, mainly due to increased clinical-development activity and personnel costs. The comparison also reflects the $8.0 million Aurigene upfront payment recorded in 2022.
- Operating cash use increased by $1.7 million. Investing activities used $4.9 million in 2023, compared with $91.5 million of cash provided in 2022, largely reflecting the timing of marketable-security purchases and maturities.
- A September 2023 private placement generated approximately $129.7 million net proceeds. Shares outstanding at year-end increased to 55.0 million from 40.3 million a year earlier.
Outlook, management commentary, and risks
- Palazestrant: The pivotal Phase 3 OPERA-01 monotherapy trial began in November 2023, plans to enroll approximately 510 patients, and has anticipated top-line results in 2026. Olema plans to present Phase 2 palazestrant-ribociclib results in May 2024 and says those data may inform a pivotal first-line combination trial. It also planned to begin a Phase 1b/2 study with everolimus in the third quarter of 2024.
- OP-3136: Olema expects to file an IND application in late 2024. Reported activity to date is preclinical; clinical efficacy and safety have not been established.
- Clinical findings and safety: In the 86-patient Phase 2 monotherapy group, median progression-free survival was 4.6 months overall and 5.6 months among patients with ESR1 mutations. Grade 4 neutropenia occurred in six patients; all had prior CDK4/6-inhibitor exposure. Combination-study findings were interim, and the filing cautions that preliminary data can change as follow-up and verification continue.
- Funding: Management said year-end cash, marketable securities, and available credit were expected to fund the current operating plan for at least 12 months from the March 11, 2024 filing date. The filing also says substantial additional capital will be needed for development and notes substantial doubt about the company’s ability to continue as a going concern over the long term. In January 2024, Olema established an at-the-market program allowing sales of up to $150 million of common stock, subject to a commission of up to 3%; any sales could dilute shareholders.
- Principal risks: Continued losses and capital needs; clinical-trial, regulatory, and enrollment uncertainty; dependence on palazestrant; competition; third-party manufacturing and clinical-service reliance; intellectual-property challenges; and macroeconomic, geopolitical, and data-security risks. Olema has no commercial infrastructure and no long-term palazestrant supply arrangements. Aurigene may receive up to $60 million in development and regulatory milestones, up to $370 million in commercial milestones, and royalties if products generate sales.
- Other disclosures: No material legal proceedings were reported. Management concluded disclosure controls and internal control over financial reporting were effective; the company was not required to obtain an auditor attestation on internal control. The auditor issued an unqualified opinion on the financial statements and identified clinical-trial accrual estimation as a critical audit matter.
