Material changes and management commentary
- Q2 gross margin rose to 50% from 42%; management attributed improvement to higher volume, scale benefits and lower employee-related restructuring costs. First-half gross margin increased to 49% from 45%.
- Q2 operating income improved from a loss to $28.9 million. SG&A increased 29% in Q2, including higher employee costs, acquisition-related expenses and consulting costs; R&D declined 13%, in part due to restructuring-related savings.
- Interest and other expense increased substantially, mainly due to discount and issuance-cost amortization and interest expense on the 2020 convertible notes.
- Management said customers’ purchasing patterns had returned toward pre-pandemic levels from Q3 2020, while noting uncertainty around COVID-19, including new variants. Management believed existing cash, operating cash flow and credit availability would meet anticipated needs for at least the next 12 months.
- On July 26, 2021, after quarter-end, Omnicell announced the planned $177 million cash acquisition of FDS Amplicare, expected to close in the second half of 2021, subject to customary conditions.
Outlook, risks and contingencies
The filing does not provide a clear numerical full-year 2021 revenue or earnings forecast. Management’s forward-looking discussion highlights execution of its autonomous-pharmacy strategy, growth in cloud and subscription offerings, customer demand and product installations, and its ability to supply and deliver products on schedule.
- Omnicell reported increased component delays and costs, especially related to semiconductor shortages. Continued shortages could constrain production, delay customer deliveries and reduce profitability.
- COVID-19 may affect customers’ spending and installation schedules, the workforce, suppliers, supply chains and access to capital; the duration and effects remain uncertain.
- Non-cancelable purchase commitments totaled $114.4 million, of which $89.5 million was expected to be paid during the remainder of 2021. Operating lease payments totaled $64.6 million; scheduled note principal and interest totaled $581.5 million.
- Two disclosed legal matters include a putative Illinois biometric privacy class action and a trade-secret lawsuit brought by Becton, Dickinson and Company. The latter was stayed through a deadline of December 6, 2021, absent an approved extension. No material accrual was recorded; the company said potential losses were reasonably possible but not probable and could not be reasonably estimated or were not deemed material.
- Disclosure controls were judged effective at the reasonable-assurance level; no material change in internal control over financial reporting was reported.
