- Q3 revenue grew 11%; product revenue rose 9% and services and other revenue rose 20%. Automation and Analytics revenue grew 15%; Medication Adherence revenue declined 3%.
- Nine-month revenue grew 11%. Reported operating income included a $3.4 million gain from remeasuring Omnicell’s former Avantec interest. Excluding that gain, nine-month operating income was approximately $33.2 million, below the prior-year $36.1 million.
- Cash and cash equivalents were $57.8 million at September 30, down from $125.9 million at December 31, 2014. Working capital was $137.2 million; the current ratio was 2.1, versus 2.5 at year-end. No balance was outstanding under the existing $75 million revolving facility, and Omnicell reported compliance with its covenants. The filing reports no long-term borrowings.
- Nine-month operating cash flow fell to $5.9 million, principally reflecting increases in receivables ($26.1 million) and inventory ($13.2 million). Investing cash outflow was $41.3 million, including acquisitions; financing cash outflow was $32.7 million, including $50.0 million of stock repurchases.
Material changes, outlook and risks
- Revenue growth reflected a larger installed customer base, larger Automation and Analytics orders, service renewals, and contributions from acquisitions. International sales increased to 17% of Q3 revenue from 10% a year earlier.
- Gross margin declined year over year in both segments. Medication Adherence margins were particularly pressured by product mix, manufacturing and service costs, and the inclusion of acquired operations.
- Management expected 2015 revenue to increase versus 2014 and intended to manage operating margins at levels similar to 2014. It expected R&D expense to be about 7%–8% of revenue, versus approximately 6% in 2014. Revenue realization depends partly on customer installation timing and the company’s ability to complete installations and meet demand.
- On October 29, 2015, Omnicell agreed to acquire Aesynt for stated aggregate consideration of $275 million, subject to adjustments; the filing estimated approximately $217.5 million after cash and debt adjustments. The deal remained subject to closing conditions, including HSR review. Omnicell lacked sufficient capital to complete it from existing resources and had a conditional $300 million senior secured financing commitment. Failure to close could trigger a $15 million reverse termination fee; anticipated debt could constrain flexibility and increase financial risk.
- Other notable exposures include pending patent-related litigation, for which no loss was accrued because management considered loss reasonably possible but not probable and could not estimate a range; acquisition integration and contingent-payment risks; foreign exchange exposure; and execution, competition, customer-budget, installation, supply and cybersecurity risks.
Most important facts for investors to verify
- Whether Aesynt closed, its final purchase price and financing terms, resulting leverage and covenant headroom.
- Whether operating cash flow improves as receivables and inventory convert to cash, and how much liquidity remains after acquisition and repurchases.
- Whether gross-margin pressure—especially in Medication Adherence—continues, and whether reported profitability is being supported by acquisition-related or other unusual gains.
- Progress on installation capacity, revenue conversion from bookings, and the integration and performance of Mach4, Avantec and Surgichem.
- Developments in the patent litigation, Avantec earn-outs and other contingencies. The filing does not provide a clear estimable loss range for the legal matter.
