Service revenue rose 175% to $1.496 million; product-sales revenue rose 124% to $3.744 million. Digital product sales contributed $3.082 million of revenue, versus $1.065 million in 2022. Management attributed the 136% total revenue increase mainly to a full year of contributions from businesses acquired in late 2022 and the 2023 Contentellect acquisition. Gross margin improved as management reduced operating costs and the mix included higher-margin digital products.
FY 2023 operating expenses were $11.480 million, including $6.041 million of selling, general and administrative expense, $1.160 million of professional fees, $326,899 of acquisition costs, and $3.952 million of impairment expense. Cash fell by $5.719 million during the year. At December 31, 2023, total assets were $6.131 million, total liabilities $789,115, and stockholders’ equity $5.342 million. Current liabilities included $17,323 of acquisition notes payable; the filing reports no noncurrent liabilities on the balance sheet.
Material changes and unusual items
- Revenue increased $3.020 million year over year, while net loss widened by $3.910 million. Weighted-average shares rose from 3.286 million to 5.107 million, and loss per common share increased from $1.35 to $1.64.
- Impairment was significant: $3.063 million related to goodwill for acquired businesses and $889,937 related to intangible assets, including Mighty Deals domains, Pretty Neat Creative, and other domains. Management cited weaker-than-expected business performance and higher interest rates, which increased discount rates.
- Operating cash use remained substantial despite a modest year-over-year decrease. Financing cash use reflected $2.439 million of acquisition-note repayments, preferred dividends, and other note payments, partly offset by $565,000 raised through Series A preferred shares.
- Onfolio shut down Digitally Approved in January 2023 and Pretty Neat Creative in November 2023. It acquired Contentellect for $850,000 in February 2023.
- RevenueZen was acquired after year-end: the agreement was dated December 31, 2023, and the company obtained full control in January 2024. Consideration totaled $1.105 million: $240,000 cash, $425,000 in Series A preferred shares, and a $440,000 secured note bearing 11% interest, with possible earn-out payments. Founders retained a 12% rollover interest. RevenueZen reportedly generated $1.4 million of revenue in 2023; that amount is not included in Onfolio’s FY 2023 results.
Outlook, risks, and contingencies
The independent auditor expressed substantial doubt about Onfolio’s ability to continue as a going concern, citing recurring losses and negative operating cash flows. Management said cash and expected operating cash flows may not cover the next 12 months; it had no formal plan, but expected to seek equity or debt financing and/or related-party advances. The filing provides no assurance that funding will be available on acceptable terms.
Management identified capital raising as a major 2024 focus. It aims to pursue acquisitions, particularly B2B agencies and productized services, using a mix of debt, seller notes, and preferred shares to limit common-stock issuance, while reducing expenses and improving organic growth. No quantified revenue, earnings, or cash-flow guidance is provided.
- At December 31, 2023, 92,260 Series A preferred shares were outstanding. They carry a 12% cumulative annual dividend, seniority over common stock for dividends and liquidation, and potential cash-payment obligations.
- Onfolio disclosed Nasdaq notice of a minimum-bid-price deficiency received October 25, 2023. The filing stated a compliance deadline of April 22, 2024; it does not establish the subsequent compliance outcome.
- Management concluded disclosure controls and internal control over financial reporting were ineffective at year-end due to a material weakness involving limited personnel and inadequate formal accounting processes, including journal-entry review. Management planned remediation during 2024.
- Key operating risks include dependence on search-engine rankings, advertising and email platforms, customer demand, and third-party technology; competition and AI-related disruption; acquisition integration and impairment risk; and privacy, cybersecurity, and regulatory exposure. The company reported no material cybersecurity incident and no material legal proceedings.
- The company reported 6.220 million warrants outstanding at year-end, in addition to common shares and equity awards, creating potential dilution. The filing also describes limited trading liquidity and substantial ownership concentration.
Important facts for investors to verify
- Cash runway, near-term obligations, and whether financing has been secured to address the auditor’s going-concern warning.
- Nasdaq bid-price compliance status after the filing’s April 22, 2024 deadline.
- RevenueZen’s post-acquisition performance, the secured note’s repayment terms, and any earn-out obligations.
- Assumptions supporting the 2023 impairments and future carrying values of goodwill and intangible assets. The filing’s MD&A gives total impairment of $3,952,516, while the financial statements report $3,952,433, an $83 difference.
- Progress in remediating the material weakness, and the potential effects of preferred dividends, warrants, options, and future financing on common-stock dilution.
