Q3 revenue declined 71% year over year, driven by a 68% reduction in homes sold and an 8% decrease in revenue per home. Nine-month revenue declined 52%, with homes sold down 48%.

Operating expenses were $175 million in Q3 and $686 million for the nine-month period, down 55% and 45% year over year, respectively. Q3 operating loss was $79 million; nine-month operating loss was $271 million. Nine-month results included a $182 million gain on extinguishment of debt from discounted repurchases of the 2026 convertible notes.

Net cash provided by operating activities was $2.886 billion for the first nine months of 2023, compared with cash used of $665 million in the prior-year period. The 2023 inflow was primarily attributable to a $3.082 billion reduction in real estate inventory and should not be interpreted as recurring operating profitability. Investing activities provided $48 million, while financing activities used $2.347 billion, principally for asset-backed debt repayments and convertible-note repurchases.

Balance sheet, debt and liquidity

  • Cash and cash equivalents were $1.154 billion; restricted cash was $1.224 billion; and marketable securities were $72 million at September 30, 2023.
  • Real estate inventory declined to $1.311 billion from $4.460 billion at December 31, 2022. The company held 4,007 homes in inventory at quarter-end, compared with 16,873 at September 30, 2022.
  • Carrying value of non-recourse asset-backed debt was $2.330 billion, and convertible senior notes had a carrying value of $502 million, with $510 million of principal outstanding.
  • Total borrowing capacity under non-recourse asset-backed facilities was $8.425 billion, including $3.0 billion of committed capacity. The company reported $6.1 billion of undrawn capacity, of which $650 million was committed revolving capacity.
  • The company stated that it was in compliance with all financial covenants and that no event of default had occurred. Approximately $300 million of net assets were restricted by minimum net-asset requirements at Opendoor Labs Inc.
  • Management stated that cash, cash equivalents, marketable securities, expected operating cash generation and available borrowings should be sufficient to meet working-capital and capital-expenditure requirements for at least 12 months from the filing date.

Material changes versus the prior comparable period

  • Q3 gross profit improved by $521 million to $96 million, primarily because inventory valuation adjustments fell to $17 million from $573 million.
  • Despite the Q3 improvement, nine-month contribution profit fell to a loss of $288 million from profit of $732 million, and adjusted gross margin declined to negative 0.2% from 9.3%, reflecting weaker resale economics and the clearance of older inventory.
  • Inventory valuation adjustments totaled $54 million for the first nine months of 2023 versus $663 million in the prior-year period.
  • The company substantially reduced inventory and repaid $2.315 billion of non-recourse asset-backed debt during the first nine months.
  • In March and May 2023, the company repurchased $468 million of aggregate principal of its 2026 convertible notes for $270 million in cash, recognizing a combined $188 million of gains before related items, reflected in the reported $182 million net gain.
  • Operating costs declined following reduced marketing activity and workforce reductions. The April 2023 workforce reduction affected approximately 560 employees, or 22% of the workforce, and generated approximately $10 million of restructuring expense.
  • The Tempe office lease amendment reduced undiscounted future lease payments by $19 million and produced a $1 million gain.

Guidance, outlook, commentary and risks

The filing does not provide clear numerical revenue, earnings or unit-volume guidance. Management expects higher mortgage rates and weaker housing-market clearance rates to reduce resale pace and revenue, require lower home-level list prices, pressure gross and contribution margins, and delay sales of older inventory. Mortgage rates reached approximately 8% in October 2023, according to management.

Management described a cautious, risk-focused operating posture, including slower acquisitions, higher spreads in offers, reduced marketing investment and continued efforts to improve cost structure. Old-book inventory declined to $82 million at September 30, 2023 from $254 million at June 30, 2023 and $3.5 billion at December 31, 2022. Management expects newer acquisition cohorts to generate positive gross and contribution margins when fully sold through and intends to increase acquisition pace as housing conditions stabilize.

Principal risks include housing-market downturns, interest-rate and home-price volatility, slower resale clearance, inventory losses and holding costs, dependence on asset-backed financing, restricted cash and borrowing-base requirements, competition, regulatory and licensing requirements, technology and pricing-model performance, inflation, and potential litigation.

A consolidated securities class action and several related shareholder derivative actions remain pending or stayed. The securities case alleges materially misleading statements concerning the effectiveness of Opendoor's pricing algorithm; motions to dismiss were pending as of the filing. The filing does not provide a quantified potential loss and states that the company believes the claims are without merit.

Most important facts for investors to verify

  • Whether improved Q3 gross and contribution margins are sustainable after the remaining old-book inventory is sold.
  • The extent to which future operating cash flow depends on further inventory liquidation rather than profitable operations.
  • Housing-market clearance rates, mortgage rates, home prices and their effect on acquisition spreads, resale volumes and inventory valuation.
  • Availability and terms of committed versus discretionary asset-backed borrowing capacity, including borrowing-base and covenant compliance.
  • Liquidity available outside restricted cash and the timing of debt maturities, including the 2026 convertible notes and asset-backed term facilities.
  • Potential financial and operational effects of the pending securities and derivative litigation.
  • Share dilution from approximately 60.3 million unvested RSUs, 8.0 million options, the convertible notes and other equity-linked arrangements.
