Q1 2022 revenue consisted of $0.5 million from the Healx license option agreement and approximately $0.9 million of non-cash revenue associated with Marinus shares received under an out-license agreement. Q1 2021 included the $196.0 million Takeda upfront license payment and revenue associated with the terminated Angelini collaboration.
Cash and cash equivalents were $166.7 million at March 31, 2022, compared with $187.8 million at December 31, 2021. Including restricted cash, cash and cash equivalents totaled $168.6 million at quarter-end. Working capital was $159.9 million and accumulated deficit was $187.5 million. Ovid reported no long-term debt. The balance sheet included a $15.9 million long-term operating lease liability and $1.9 million of restricted cash securing a letter of credit.
The filing does not present a conventional gross margin because Ovid has no product sales and reported licensing revenue without cost of revenue. Operating loss as a percentage of revenue was approximately 1,125% in Q1 2022, reflecting the limited and largely transaction-driven revenue base.
Material changes versus the prior comparable period
- Revenue and operating results reversed sharply because Q1 2021 benefited from the one-time $196.0 million Takeda upfront payment; Q1 2022 had no comparable transaction.
- Research and development expense declined primarily because Ovid discontinued OV101 clinical studies in Angelman syndrome and Fragile X syndrome and terminated the Takeda collaboration for OV935. Payroll-related expense increased, partly due to severance.
- General and administrative expense declined primarily because Q1 2021 included substantial legal and professional fees related to the Takeda transaction. Payroll expense increased in Q1 2022, also partly due to severance.
- Operating cash usage was $20.1 million in Q1 2022, compared with operating cash generation of $160.9 million in Q1 2021, principally due to the absence of the Takeda upfront payment.
- Ovid began recognizing a $15.7 million right-of-use asset and $15.9 million lease liability for a new 10-year headquarters lease commencing March 10, 2022. Base rent is approximately $2.3 million annually, with rent payments beginning in January 2023.
- Ovid issued a $1.0 million convertible promissory note to a related-party investee in March 2022, bearing interest at 1.5% and maturing March 17, 2023.
- Common shares outstanding increased modestly to 70.4 million at March 31, 2022. Outstanding options totaled 12.8 million, and 1.25 million additional common shares were issuable upon conversion of Series A preferred stock.
Guidance, outlook, risks and unusual items
Management expects continued significant expenses and operating losses for at least the next several years. It believes existing cash and cash equivalents will fund current operating plans through at least the 12 months following the filing date, but states that additional funding will eventually be needed through equity, debt, licensing, collaborations or other arrangements.
Ovid has no approved products and all drug candidates under its development responsibility were described as being in preclinical development. Management previously discussed a goal of filing three IND applications beginning in 2022, but cautioned that achievement is not assured. The company does not plan to conduct further trials of gaboxadol and granted Healx a one-year option to investigate the compound in Fragile X syndrome and potentially obtain an exclusive license.
Under the Takeda agreement, Ovid remains eligible for up to $660.0 million in development, regulatory and sales milestones and tiered royalties of up to 20% on soticlestat sales, but payment depends on Takeda successfully developing and commercializing the product. Ovid also has potential contingent milestone obligations of up to $279.3 million under certain in-license agreements, including AstraZeneca, Lundbeck and Northwestern; the filing states these payments were not considered probable or reasonably estimable.
Other unusual items included approximately $0.9 million of non-cash Marinus license revenue, a $0.2 million unrealized gain on Marinus shares, a $0.75 million settlement accrued in general and administrative expense, and $1.3 million of stock-based compensation expense.
Key risks include recurring losses, dependence on additional capital, early-stage and preclinical development risk, regulatory and clinical-trial uncertainty, reliance on third-party manufacturers and research organizations, dependence on Takeda and other collaborators, intellectual-property risks, COVID-19-related disruption, market volatility and possible dilution from future financings, option exercises or preferred-stock conversion.
Management concluded that disclosure controls and procedures were effective as of March 31, 2022, and reported no material changes in internal control over financial reporting. The filing states that Ovid was not subject to any material legal proceedings.
Important facts for investors to verify
- Whether Ovid’s $166.7 million cash balance and stated 12-month funding assessment remain adequate as development spending evolves.
- Progress, timing and probability of the planned IND submissions and development of OV329, OV350 and other preclinical programs.
- Takeda’s progress with soticlestat, including the potential for milestone and royalty payments and the risk of program delay or discontinuation.
- Healx’s decision at the end of its one-year option period and any resulting milestone, royalty or co-development economics.
- Whether the Marinus out-license generates future royalty revenue following commercialization of ganaxolone for CDKL5 deficiency disorders.
- The effect of the new headquarters lease, severance, settlement and other fixed or contingent obligations on future cash burn.
- Potential dilution from 12.8 million outstanding options, 1.25 million preferred-stock conversion shares and the unused $75.0 million ATM program.
- The filing contains inconsistent descriptions of the Q1 2022 income-tax provision—financial statements report $50,000, while other MD&A and risk-factor language uses rounded or conflicting descriptions—so investors should verify the audited or subsequent-period treatment.
