Animal Health sales increased 11% to $607.1 million, Mineral Nutrition increased 18% to $259.5 million, and Performance Products increased 13% to $75.7 million. Animal Health Adjusted EBITDA was essentially unchanged at $124.1 million; Mineral Nutrition increased 40% to $24.0 million; and Performance Products decreased 8% to $8.7 million.

Net income declined despite higher sales and operating income because income tax expense increased to $23.2 million from $12.1 million, raising the effective tax rate to 32.0% from 18.2%. FY2022 tax results included changes in uncertain tax positions and valuation allowances.

Cash and short-term investments totaled $91.2 million at June 30, 2022. Working capital was $299.2 million, and the current-assets-to-current-liabilities ratio was 2.70:1. Cash conversion was pressured by a $23.6 million increase in accounts receivable and a $47.0 million increase in inventory, partly offset by a $26.4 million increase in accounts payable.

Debt and Liquidity

At June 30, 2022, debt consisted primarily of a $288.8 million Term A loan and $145.0 million drawn under the revolving credit facility, before considering current and long-term balance-sheet classification. The company also had $2.5 million of outstanding letters of credit and approximately $102.5 million of remaining revolver availability, subject to facility restrictions.

The 2021 Credit Facilities mature in April 2026 and require compliance with a maximum First Lien Net Leverage Ratio of 4.00:1.00 and a minimum interest coverage ratio of 3.00:1.00. The company stated that it was in compliance with its financial covenants at year-end and expected available liquidity to support at least the next twelve months.

The company paid $19.4 million in dividends during FY2022 and declared a $0.12 per-share quarterly dividend payable September 28, 2022. Dividend payments remain subject to board approval, cash availability and debt covenant restrictions.

Material Changes Versus the Prior Comparable Period

  • Sales grew 13%, supported by volume and pricing increases across all three segments.
  • Gross margin declined from 32.6% to 30.3%, reflecting higher material, labor, raw material and production costs, as well as $0.3 million of acquisition-related cost of goods sold.
  • SG&A increased 5% to $206.4 million, including higher employee, marketing, product development, travel and strategic initiative costs.
  • Net income fell 10% and diluted EPS fell from $1.34 to $1.21, primarily because of the higher tax provision and increased SG&A.
  • Operating cash flow declined 35% as the company funded higher receivables and inventory during a period of sales growth and inflation.
  • Capital expenditures increased to $37.0 million for production capacity and productivity improvements.
  • The company acquired a Brazilian business for $13.5 million in cash. The business develops, manufactures and markets ethanol fermentation processing aids.
  • The company began commercial sales from its Sligo, Ireland poultry vaccine facility in February 2022 and continued construction of a vaccine facility in Guarulhos, Brazil.

Guidance, Outlook, Risks and Unusual Items

The filing does not provide specific quantitative revenue, earnings or EBITDA guidance. Management stated that global population growth, growth of the global middle class and the need for improved livestock productivity support long-term animal health industry growth. Strategic priorities include expansion in emerging markets, new and lifecycle product development, manufacturing efficiency and development of vaccines, companion-animal products and microbial technologies.

  • Carbadox/Mecadox regulatory risk: FDA proceedings concerning carbadox remain material. FY2022 Mecadox sales were $21 million. The FDA held a public hearing in March 2022, and the product remained available at the filing date.
  • Antibacterial restrictions: Antibacterials and related products represented approximately 40% of net sales. Additional restrictions, consumer concerns or loss of approvals could materially affect results.
  • Cost inflation and working capital: Higher raw material, labor, freight and energy costs affected margins and inventory investment. Mineral Nutrition pricing is closely linked to commodity metal costs.
  • COVID-19 and supply chain: The company continued to face potential manufacturing, logistics, demand, customer credit and supplier disruption risks.
  • Russia-Ukraine conflict: Sales to Russia and Ukraine represented approximately 1% of consolidated net sales. Potential effects include sanctions, logistics disruption, inflation, currency and interest-rate volatility and cybersecurity threats.
  • Environmental contingencies: Environmental accruals totaled approximately $4.3 million. Phibro-Tech is a potentially responsible party in the Omega Chemical Site groundwater matter; the company stated that ultimate liability cannot currently be predicted.
  • Interest-rate exposure: A $300 million interest-rate swap effectively fixed the LIBOR component of debt through June 2025. A 100-basis-point LIBOR increase would have increased annual interest expense and reduced cash flow by approximately $1.4 million based on year-end balances.
  • Unusual items: FY2022 results included a $1.2 million gain on sale of investment, $0.3 million of acquisition-related cost of goods sold and $0.3 million of acquisition-related transaction costs. Adjusted EBITDA also excludes foreign-currency gains and other specified items.

Important Facts for Investors to Verify

  • Confirm that the intended comparison is FY2022 versus FY2021 rather than “2021 Q4”; the filing’s quarterly data shows June 30, 2022 quarterly net sales of $255.3 million and net income of $7.5 million.
  • Assess whether gross-margin pressure from raw material, labor and production inflation is temporary or structural.
  • Review cash conversion, particularly the $47.0 million inventory build and $23.6 million increase in accounts receivable.
  • Monitor FDA actions concerning Mecadox/carbadox and the potential effect on the company’s antibacterial portfolio.
  • Evaluate debt maturities, revolver usage, covenant headroom and refinancing requirements before April 2026.
  • Review the Omega Chemical Site litigation and environmental disclosures for changes in estimated liability.
  • Distinguish GAAP net income and cash flow from management’s non-GAAP Adjusted EBITDA of $111.1 million.
  • Consider foreign-exchange, geopolitical, regulatory, supply-chain and customer-concentration risks, including the company’s significant operations in Israel and Brazil.
